for payments of disputed amounts shall be tolled if Client challenges any <br />charges on the invoice. Any Total GA Mailer Fees are to be paid in advance <br />of mailing. <br />7. RESERVED. <br />8. All fees will be paid via electronic funds transfer to Health Dialog. <br />On each annual anniversary of the NL Effective Date (the "Anniversary"), the <br />Minimum Monthly Fee and GA Mailer Rate then in effect will increase by the <br />greater of (i) the change in the CPI (defined below) over the twelve-month <br />period ending with the most recent calendar quarter for which CPI data are <br />available as of the Anniversary, or (ii) 3%, with any such annual adjustment <br />rounded to the nearest one -tenth of one cent each year as the basis for <br />subsequent billing and similar adjustment in the succeeding year. "CPI" shall <br />mean United States Bureau of Labor Statistics' Consumer Price Index — All <br />Urban Consumers —All Items. <br />IX. Term Of This Work Order #1. <br />This Work Order #1 shall be effective beginning on September 15, 2020 and, unless <br />terminated earlier by mutual written agreement of the Parties, shall terminate when the <br />Agreement terminates for any reason. <br />
