SUBREC11'lENT shall dispose of it <br />only in accordance with the instructions of COUNTY or the agency from which COUNTY received the <br />grant hinds. <br />5. SUBRh:C11'lENT shall submit to the COUN'1 Y grant program reporting documents and <br />information in accordance with requircrnents set out in the Attachment C (Fiscal Year 2020 Emergency <br />Management Performance Grant Program COV1D-19 Supplemental (LMPG-S): California Supplement <br />to the Federal Notice of Funding Opportunity or, The State Ouidance), which is attached hereto and <br />incorporated herein by reference. <br />6. By executing this Agreement, SUBREC1PlENT agrees to comply with and be fully <br />bound by this Agreement and all applicable provisions of Attachments A. B. C. and 1) (Standard <br />AS5nrar7CCS for all CaIOBS Federal Non -Disaster Grant Programs) hereto. SUBRECTPTENT shall notify <br />COUNTY immediately upon discovery that it has not abided or no longer will abide by any applicable <br />provision of this Agreement or Attachments A, B, C, or 1) hereto. <br />7_ SUBRECTMENT agrees to inelemnify, defend and save harmless COUNTS" and the <br />agcney from which COUNTY received grant funds, and their elected and appointed officials, officers, <br />agents and employees from ally and all claims and losses aceming or reSUlting to any and all Contractors, <br />subconlretors, laborers, and any otbcr person, firm or corporation furnishing or supplying work, <br />services, materials or supplies in connection with SUBREC1P1ENT's performance of this Agreement, <br />including Attachments A. B, C, and 1) hereto, and from any and all claims and losses accruing or <br />resulting to any person, firm, or corporation who may be injured or damaged by SUBREC.TPTPNT in the <br />performance of this Agreement, including Attachments A, B, C, and D hereto. <br />K. No alteration or variation of the terms of this Agreement shall be valid unless made in <br />writing and signed by duly authorized representatives of the partics hereto, and no oral understanding or <br />agreement not incorporated herein shall be Binding on any of the parties hereto. <br />9.
