this Agreement performed by CITY personnel or by other consultants retained by CITY. <br />17. WAIVER <br />No waiver of breach, failure of any condition, or any right or remedy contained in or <br />granted by the provisions of this Agreement shall be effective unless it is in writing and signed by <br />the party waiving the breach, failure, right or remedy. No waiver of any breach, failure or right, or <br />remedy shall be deemed a waiver of any other breach, failure, right or remedy, whether or not <br />similar, nor shall any waiver constitute a continuing waiver unless the writing so specifies. <br />18. TERMINATION <br />City has the right to terminate this Agreement upon one day's notice, with or without <br />cause. Should the City terminate the Agreement, it shall also have the right to demand the <br />immediate return of all funds provided to GRANTEE pursuant to this Agreement not yet <br />expended by GRANTEE. Notwithstanding the foregoing, the indemnification provisions of <br />this Agreement shall survive any expiration or termination of this Agreement. <br />19. NON-DISCRIMINATION <br />GRANTEE will not discriminate against any individual with regard to employment or <br />participation or in any other mariner for reasons of race, color, national origin, religion, gender <br />or gender identification, sexual identity, pregnancy, childbirth or related medical conditions, age, <br />marital status, disability orany other characteristic that is protected by local, state or federal law. <br />20. JURISDICTION -VENUE <br />This Agreement shall be governed by the laws ofthe State of California. Any legal <br />action related to the performance or interpretation of this Agreement shall be filed only in the <br />Superior Court of the State of California located in Orange, California, and the Parties waive <br />any provision of law providing for a change of venue to another location. <br />21. GENERAL PROVISIONS <br />a. No Third -Party Beneficiaries: This Agreement is not intended to create any <br />rights or benefits for a person or entity who is not a Party, whether as a third - <br />party beneficiary or otherwise. <br />b. Severability: If any term of this Agreement is held by a court of competent <br />jurisdiction to be invalid, void or unenforceable, the other provisions will <br />remain in force to the extent practicable and taking into consideration the <br />purposes of this Agreement. <br />G. Interpretation: The terms of this Agreement shall be construed in accordance <br />with the meaning of the language used and not for or against any Party by <br />reason of the authorship or any other rule of construction that might otherwise <br />7 <br />
