apply. The Section headings are for purposes of convenience only and shall not <br />be construed to limit or extend the meaning of this Agreement. <br />d. Attorney's Fees: Each Party shall pay its own attorney's fees. <br />e. Business Day Convention: If the date of any required action falls upon a <br />weekend day or a holiday when the CITY is not open for business, the required <br />action may be deferred to the next business day. <br />f. Force Majeure: No Party will be held responsible for failing to perform its <br />responsibilities under this Agreement if the failure results from any act of nature <br />or other cause that is beyond the reasonable control of the Party and that makes <br />performance impossible or illegal. <br />g. Counterparts: This Agreement may be executed in one or more counterparts, <br />each of which shall be an original and all of which together shall be one and the <br />same instrument. A facsimile, PDF copy or other electronic signature (e.g., <br />DocuSign) of this Agreement, when signed in compliance with this Section, is <br />an enforceable, original agreement for all purposes. <br />h. Prohibition of Nepotism: GRANTEE agrees not to hire or permit the hiring of any <br />person to fill a position funded through this Agreement if a member of that person's <br />immediate family is employed in an administrative capacity by GRANTEE. For <br />the purposes of this section, the term "immediate family" means spouse, child, <br />mother, father, brother, sister, brother-in-law, sister-in-law, father-in-law, mother- <br />in-law, son-in-law, daughter-in-law, aunt, uncle, niece, nephew, stepparent and <br />stepchild. The term "administrative capacity" means having selection, hiring, <br />supervisor or management responsibilities. <br />i. Miscellaneous Provisions: <br />a. Each undersigned represents and warrants that its signature herein below <br />has the power, authority and right to bind their respective parties to each of <br />the terms of this Agreement, and shall indemnify CITY fully, including <br />reasonable costs and attorney's fees, for any injuries or damages to CITY <br />in the event that such authority or power is not, in fact, held by the signatory <br />or is withdrawn. <br />b. All Exhibits and Attachments referenced herein and attached hereto shall <br />be incorporated as if fully set forth in the body of this Agreement. <br />(Signatures on following page) <br />M <br />
