Title to all Improvements constructed or placed on the <br />Premises by Tenant and paid for by Tenant are and shall be vested in Tenant during the Term of this <br />Lease, until the expiration or earlier termination thereof. Any and all depreciation, amortization and <br />tax credits for federal or state purposes relating to the Improvements located on the Premises and any <br />and all additions thereto shall be deducted or credited exclusively by Tenant during the Term. The <br />Parties agree for themselves and all persons claiming under them that the Improvements are real <br />property. <br />5.4.3. Upon Expiration or Earlier Termination of Term. All Improvements on <br />the Premises at the expiration or earlier termination of the Term of this Lease shall, without <br />additional payment to Tenant, then become Lessor’s property free and clear of all claims to or against <br />them by Tenant and free and clear of all Leasehold Mortgages and any other liens and claims arising <br />from Tenant’s use and occupancy of the Premises, and with Taxes paid current as of the expirat ion or <br />earlier termination date. Tenant shall upon the expiration or earlier termination of the Term deliver <br />possession of the Premises and the Improvements to Lessor in good order, condition and repair <br />consistent with the requirements of this Lease and in compliance with all applicable laws and <br />regulations for the occupancy of the Project, taking into account reasonable wear and tear and the age <br />of the Improvements. <br />5.5 “AS-BUILT” Plans. Within sixty (60) days following completion of any substantial <br />improvement within the Premises, Tenant shall furnish the Lessor a complete set of reproducibles <br />and two sets of prints of “As-Built” plans and a magnetic tape, disk or other storage device <br />containing the “As-Built” plans in a form usable by Lessor, to Lessor’s satisfaction, on Lessor’s <br />computer aided mapping and design (“CAD”) equipment. CAD files are also to be converted to <br />Acrobat Reader (pdf format), which shall be included on the disk or CD ROM. In addition, Tenant <br />shall furnish Lessor copy of the final construction costs for the construction of such improvements. <br />5.6 Replacement Reserve Fund. <br />5.6.1. Tenant shall establish and maintain a reserve fund (the "Replacement <br />Reserve Fund") during the Term of this Lease (as “Term” is defined in Section 2.2) in accordance <br />with the provisions of this Section 5.6 designated to pay for Permitted Capital Expenditures (as <br />defined below) for the Improvements during the Term of this Lease. <br />5.6.2. Tenant and Lessor agree and acknowledge that the purpose of the <br />Replacement Reserve Fund shall be to provide sufficient funds to pay for the costs of major <br />replacements, renovations or significant upgrades of or to the Improvements, including without <br />limitation building facade or structure and major building systems (such as HVAC, mechanical, <br />electrical, plumbing, vertical transportation, security, communications, structural or roof) that <br />significantly affect the capacity, efficiency, useful life or economy of operation of the Improvements <br />or their major systems, after the completion of the Initial Improvements (“Permitted Capital <br />Expenditure(s)”). <br />5.6.3. The Replacement Reserve Fund shall not be used to fund any portion of the <br />construction cost of the Initial Improvements. In addition, Permitted Capital Expenditures shall not <br />include the cost of periodic, recurring or ordinary maintenance expenditures or maintenance, repairs <br />or replacements that keep the Improvements in an ordinarily efficient operating condition, but that do <br />not significantly add to their value or appreciably prolong their useful life.
