Member in performance of any of its obligations under this Agreement, or any art <br />or negligence of such Member or any of its agents, contractors, servants, <br />employees or licensees with respect to this Agreement. No indemnification is <br />made under this Section for claims, losses or damages, including legal fees and <br />expenses, arising out of the willful misconduct, negligence or breach of duty <br />under this Agreement by the Authority or a Member or their officers, employees, <br />agents or contractors.. <br />17.22 The Representatives to the Governing Board and to each of the Risk Management <br />Programs and any officer, employee, contractor, or agent of the Authority shall <br />use ordinary care and reasonable diligence in the exercise of their power and in <br />- - the performance of their duties under this Agreement. <br />1.7.3 blends of the Authority may be used to defend, indemmify, and hold harmless the <br />nutuGCe,37' dill]any lalu5u'er of the iurVver13i13g Board,. any member of a Risk <br />Management Program, and any employee of the Authority for their actions takers <br />within the scope of their duties while acting on. behalf of the Authority. Nothing <br />herein shall limit the right; of the Authority to purchase insurance to provide such <br />coverage as is hereinabove sot form. <br />ARTICLE 18, NOTICES, <br />18.1 Notices to each Member under this Agreement. shall be sufficient if mailed to its <br />respective address on Me with the Authority.
