-0 <br />AGREEMENT <br />4)- <br />THIS AGREEMENT, is made and entered into this January 6, 1998, by and <br />between the CITY OF SANTA ANA, a public body, corporate and politic ("City") and <br />Future Design Communications ("Contractor"). <br />WHEREAS, the City desires to retain the services of Contractor to provide <br />Cabling Services. <br />THEREFORE, in consideration of their mutual and respective promises, the <br />parties hereto do hereby state as follows: <br />Terms and Conditions <br />All terms and conditions more fully set forth in the Request for Proposals <br />("RFP"): "Qualified Vendors to Provide Cabling Services", November 1997, shall have <br />full force and effect in this Agreement. Said terms and conditions are attached hereto <br />as Exhibit A, and incorporated herein by reference. <br />The term of this Agreement shall be one year, with an option, at City's discretion, <br />of two (2), one (1) year renewals, per Council approval dated January 5, 1998. <br />2. Scope of Services <br />The Contractor has the requisite knowledge, skills, and expertise and agrees to <br />perform the services as fully set forth in the field proposal. Said field proposal is <br />attached hereto as Exhibit B, and incorporated herein by reference. <br />3. Compensation <br />The City will pay the agreed upon rate, as outlined in Exhibit B. <br />4. Termination of Agreement <br />This Agreement may be terminated by either party upon thirty (30) days written <br />notice. The City Manager is authorized to terminate this Agreement on behalf of the <br />City at his discretion. <br />5. Independent Contractor <br />The Contractor shall be responsible for the payment of all salaries, wages, <br />bonuses, Social Security Workers Compensation, taxes, Federal and State <br />Unemployment Insurance, and any and all taxes relating to the personnel furnished <br />
