Professional Liability Insurance Policy PROFESSIONAL LIABILITY INSURANCE POLICY THIS IS A CLAIMS -MADE AND REPORTED POLICY. Throughout this Policy the words "the Company" refer to the insurance company identified in the Declarations that is providing this insurance. Defined terms, other than headings, appear in italics. Refer to Section IV. DEFINITIONS. This Policy has certain provisions and requirements unique to it and may be different from other policies the Insured may have purchased. Various provisions in this Policy restrict coverage. Please read this entire form carefully to determine rights, duties and what is and is not covered. In consideration of payment of the premium and the undertaking of the Insured to pay the deductible as described herein, and in reliance upon all representations and warranties contained in the Application submitted to the Company and made a part of this Policy, including any addendum or addenda, and subject to all provisions of this Policy subsequently set forth herein, the Company agrees with the Insured as follows: INSURING AGREEMENTS Each of the following coverages is subject to the Section V. LIMITS OF INSURANCE AND DEDUCTIBLE as set forth in the Declarations. A. PROFESSIONAL LIABILITY The Company shall pay, on behalf of the Insured, those Damages and Claim Expenses that the Insured becomes legally obligated to pay, provided that: 1. The Claim results from a Wrongful Act committed by the Insured anywhere in the world; 2. The Insured committed the Wrongful Acton or after the Retroactive Date specified in the Declarations and before the end of the Policy Period; 3. The Claim for such Damages is first made against the Insured and is reported to the Company, in writing, during the Policy Period, or any applicable Extended Reporting Period; and 4. If on the effective date of this Policy, no Insured had knowledge of any Circumstance which could reasonably be expected to give rise to a Claim. II. TERRITORY The insurance provided by this Policy applies to Claims, arising out of any Wrongful Act committed or arising anywhere in the world, which are made or brought in the United States of America, including its territories, possessions and Puerto Rico. Ill. SUPPLEMENTARY COVERAGES AND PAYMENTS All payments made under this section are not subject to the deductible and are in addition to the Limits of Insurance shown in the Declarations.
