Professional Liability Insurance Policy <br />The Company shall reimburse the Insured, upon the Insured's written request, for <br />reasonable and necessary legal fees and expenses incurred in responding to any: <br />1. Administrative or Regulatory Action brought against the Insured by the Environmental <br />Protection Agency, any state or local environmental regulatory agency, or any other <br />government official or regulatory agency, or any court, provided that the action arises <br />out of a Wrongful Act, in the performance of Professional Services, committed or <br />alleged to have been committed by the Insured on or after the Retroactive Date set <br />forth in the Declarations and before the and of the Policy Period, and <br />2. Disciplinary Proceedings commenced against the Insured by a regulatory or <br />disciplinary office, board or agency, to investigate charges of professional misconduct <br />arising out of a Wrongful Act in the performance of Professional Services. <br />The maximum total amount the Company will pay under this Policy for reimbursement for <br />all administrative, regulatory and disciplinary legal fees and expenses is $50,000, <br />regardless of the number of Insureds or the number of Administrative or Regulatory <br />Actions or Disciplinary Proceedings. After the Company has paid $50,000 under this <br />provision, the Company shall not be obligated to pay any further legal fees and expenses. <br />B. DEFENDANTS REIMBURSEMENT <br />The Company will pay an amount of $500 to each Insured for each day or part of a day <br />that the Insured attends as a witness at any trial, hearing or deposition involving a Claim <br />against such Insured, at which the Company has requested the Insured's attendance, or <br />when such attendance is required by the court. This payment shall only apply to <br />appearances involving Claims against the Insured. The maximum amount payable for all <br />such appearances shall not exceed $10,000 as a total aggregate, regardless of how many <br />appearances are actually made, or the number of Insureds making appearances, and <br />regardless of any other fact, Circumstance or situation. <br />C. IMAGE RESTORATION COSTS REIMBURSEMENT <br />The Company shall reimburse the Named Insured up to a maximum of $50,000 per Policy <br />Period, for image restoration costs arising out of damage to the Insured's reputation or <br />consumer confidence as a result of a Claim covered under the Policy. Image restoration <br />costs shall be limited to reasonable costs, expenses and fees incurred by the Named <br />Insured, paid to a public relations firm, approved by the Company, for the purpose of <br />restoring the Insured's reputation or consumer confidence through image restoration <br />consulting. <br />D. MEDIATION CREDIT <br />If the Named Insured and the Company agree to utilize Mediation as a means to resolve a <br />Claim made against the Insured, and if such Claim is resolved as a direct result of the <br />Mediation and prior to any litigation, the Named Insured's deductible obligation shall be <br />reduced by fifty percent (50%), subject to a maximum reduction of $25,000. As soon as <br />practicable following the conclusion of such Mediation, the Company shall reimburse the <br />Named Insured for any reimbursable deductible payment made by the First Named <br />Insured prior to the Mediation. <br />E.
