8. HOLD HARMLESS CLAUSE: None of the Parties hereto shall be liable for any bodily <br />injury, death or damage to property proximately resulting from the negligent, wrongful or <br />willful acts or omission of any other Party's employees in the performance of this MOU. <br />Each Party shall be responsible for the acts, errors or omissions and conduct of its own <br />employees. <br />9. DISCRIMINATION: Subrecipient shall not discriminate because of race, color, creed, <br />religion, sex, marital status, sexual orientation, gender identity, gender expression, gender <br />medical conditions, genetic information, military and veteran status, age, national origin, <br />ancestry, or disability, as defined and prohibited by applicable law, in the recruitment, <br />selection, training, utilization, promotion, termination or other employment related activities. <br />Subrecipient affirms that it is an equal opportunity employer and shall comply with all <br />applicable federal, state and local laws and regulations. <br />10. TERMINATION: Any Party may terminate this MOU, with or without cause, upon 30 <br />days' written notice given to the other Party. <br />11. SEVERABILITY: If any part of this MOU is found to be null and void, unenforceable, or <br />is otherwise stricken, the rest of this MOU shall remain in force and effect. <br />12. JURISDICTION: Both Parties agree that Orange County, California shall be the venue for <br />any dispute in connection with this MOU. . <br />13. AUTHORITY AND SIGNATURES: The individuals signing this MOU have the authority <br />to commit the Party they represent to the terms of this MOU, and do so commit by signing. <br />[signatures on following page] <br />
