5. The City agrees: <br />(a) To provide adequate space for the Innate Telephone system and easy <br />access to the phones by inmates. <br />(b) Not to allow the installation or use of any other innate or non -coin operated <br />public telephone system on the designated site location during the tenn of this <br />Agreement. <br />(c) To cooperate with Vendor to facilitate the immediate commencement of <br />installation upon the availability of service lines from the telephone utility <br />company. The Vendor shall not be liable for any delays in installation <br />beyond its control. <br />(d) Any reasonable request by the City of addition, deletion or relocation of the <br />phones shall be granted by Vendor and shall be done at Vendor's expense. <br />6. In the event of a material breach of the terms of this Agreement by either party, upon <br />receipt of written notice from the non -breaching party, the breaching party has thirty (30) days <br />within which to cure any defective performance to the satisfaction of both parties. Should the <br />breaching party fail to cure with thirty (3 0) days, the non -breaching party may terminate sixty (60) <br />days thereafter upon provision of written notice thereof to breaching party. <br />The City gives written notice to the Vendor's owner at 601 Fourth Avenue, Coraopolis, <br />Pennsylvania 15108. <br />The Vendor gives written notice to City's .laic Administrator at 24 Civic Center Plaza, Santa <br />Ana, California 92702. <br />7. It is further agreed that: <br />(a) This Agreement shall be binding upon and shall inure to the benefit of the <br />parties hereto, their successors and assigns. <br />(b) This Agreement remains in effect during the entire period of the contract <br />between parties hereto as set forth in Paragraph 3 above, and its terms may <br />not be modified in any respect whatsoever ur)less in writing by the parties <br />hereto. <br />(c) All equipment, fixtures and supplies furnished by Vendor shall remain <br />Vendor's property. <br />(d) Vendor shall not assign its rights, obligations and interest under this <br />Agreement to any other party except with the prior written approval of the <br />City. <br />
