Within twenty-one (21) days following the termination of the Agreement. <br />Contractor shall submit to the City a preliminary report of expenditures. Within forty (40) days <br />following the termination of the Agreement, Contractor shall submit to the City, on forms <br />provided by the City, complete and accurate final close-out invoice including accruals of <br />allowable expenditures and a remittance for all unearned grant funds as identified in the close- <br />out. <br />3. In -the -event Contractor does not submit a -final -close -out -within -the -prescribed <br />time frame, City reserves the right to unilaterally close-out the Agreement and use the invoice on <br />file :at City for determination of Contractor's; final allowable expenditures. City will riot <br />reimburse Contractor ,for any expenditure reported after the 21-day closeout date : following <br />termination of this Agreement. City shall provide to Contractor, .City's closeout forms at least <br />thirty (30) days prior to termination of Agreement. <br />C. MIS Reporting <br />Contractor shall submit to the City all MIS fortes within 10 days of the activity <br />date.,..The information submitted shall include, but not be limited to: enrollment date, completion <br />date; and placement date. <br />XIV -- INVENTIONS, PATENTS AND COPYRIGHTS <br />A. Reporting Procedure <br />If any project produces patentable items, patent rights, processes, or inventions in <br />the course of work under a DOL grant or agreement, Contractor shall report the fact promptly <br />and fully to City. City shall report the fact to the Grant Officer, at DOL. Unless there is a prior <br />Agreement between City and the DOL and its representative on these matters, the DOL shall I <br />determine whether to seek protection on the invention or discovery, including rights under any <br />patent issued thereon, will be allocated and administered in order to protect the public interest <br />17 <br />
