Ng_l a) <br /> t rovnc4 L (kol)' Employer. The City of Santa Ana, a charter city and municipality, (the "Employer") enters this <br /> agreement ("Agreement") with Pre-Paid Legal Services, Inc. d/b/a Legalshield, an Oklahoma <br /> corporation ("PPLSI" or "Company") (each, a "Party" or collectively, "Parties"), for legal and <br /> identity theft services to be offered to Employer's employees as an employee benefit within the <br /> United States. <br /> 2. Term of Agreement. This Agreement is effective on January 1, 2025 and is for 5 year(s). After <br /> the initial term,this Agreement will automatically renew for additional one-year terms. If either <br /> Party does not want the Agreement to renew then either Party shall give the other Party at <br /> least 120 days prior written notice. Either Party may terminate this Agreement without cause <br /> and at any time upon giving 90 days prior written notice to the other Party. <br /> 3. Eligibility and Enrollment. All full-time and part-time employees of Employer working 20 plus <br /> hours a week are eligible to enroll. Employees may enroll in the group legal and identity theft <br /> plans ("Service Plans") annually during the Employer's open enrollment. The employee <br /> ("Member") must enroll for a period of one year. If a qualifying life event occurs,a Member may <br /> choose to cancel the membership. <br /> 4. Payment. The rate for the group legal plan ("LegalShield Plan") is $18.85 per month per <br /> employee enrolled for the family plan,which includes any applicable supplement amounts. The <br /> rate for the group identity theft plan ("IDShield Plan") is $ 14.05 per month per employee for <br /> the family plan or $7.45 per month for an individual plan. When an employee purchases both <br /> the LegalShield and IDShield plan, the rates are discounted to $30.90 per month per employee <br /> for the family or $ 25.30 per month for the individual. Each month, the Employer will provide <br /> the Company with a Member file list and payment for each Member. <br /> 5. Data Protection. The Company will comply with applicable laws, regulations, and government <br /> orders relating to personally identifiable information ("PII")and data privacy with respect to any <br /> such data that the Company receives or has access to under this Agreement. The Company will <br /> maintain physical, electronic and procedural safeguards to protect PII in accordance with <br /> accepted industry standards. The Company will not use or disclose any data made available or <br /> accessible under this Agreement for any purpose other than a business purpose as outlined in <br /> PPLSI's Privacy Policy available at https://www.pplsi.com/privacy-policy/. <br /> 6. Indemnification. Each Party (the "Indemnifying Party") agrees to defend, indemnify the other <br /> Party, its directors, officers, employees, and agents (the "Indemnified Party") and hold them <br /> harmless from and against all third-party claims, liability, fees, penalty, losses, direct costs and <br /> expenses, obligations (including reasonable attorney's fees and disbursements) judgment or <br /> damage ("Damages") directly resulting from the Indemnifying Party's breach of this Agreement <br /> or acts or omissions of the Indemnifying Party in the performance of its duties hereunder,except <br /> to the extent arising from such action or omission which constitutes gross negligence, <br /> recklessness or misconduct on the part of the Indemnified Party.The Indemnified Party will pay <br /> any Damages finally awarded against Employer for such action, provided that: (1) the <br /> Page 1 of 6 LS-591(02/24) <br />
