Indemnified Party gives the Indemnifying Party prompt written notice of the action; (2) Indemnifying Party has sole control of the defense, settlement, or compromise of the action; and (3) Indemnified Party provides the Indemnifying Party with reasonable cooperation, information, and other assistance requested by the Indemnifying Party in connection with the defense, settlement, or compromise of the action. The Indemnified Party may elect to participate in the action with an attorney of its own choice at its own expense. Each Party has a duty to mitigate damages that would otherwise be recoverable hereunder by taking appropriate and reasonable actions to reduce or limit the amount of such damages. 7. Service Plans.The Company will provide the services described in the LegalShield Plan Overview attached as Exhibit A and the IDShield Plan attached as Exhibit B to this Agreement (collectively, "Services") to enrolled Members in return for the membership fee. 8. LegalShield Eligibility. The following are eligible for Services under the family LegalShield Plan: a. The Member. b. The following family members of Member are also eligible for Services, unless provided otherwise in the family LegalShield Plan: i. The Member's spouse or domestic partner. ii. Dependent children of the Member,the Member's spouse,or domestic partner, under26 years of age. Hi. Children under 18 years of age for whom the Member,the Member's spouse,or domestic partner, is the legal guardian. iv. Any dependent child, regardless of age, who is physically disabled or mentally incapacitated resulting in an inability to make legally binding decisions, is unable to be employed and lives at home with the Member, Member's spouse, or domestic partner. v. A dependent child is the natural or adopted child of the Member,the Member's spouse,or domestic partner. 9. IDShield Plan Eligibility. The following are eligible for Services under the individual IDShield Plan;the Employee only, and under the family IDShield Plan, except as otherwise provided in the family Identity Theft Plan: a. The Member. b. The Member's spouse or domestic partner. c. Monitoring services for eligible dependent children under the age of 18 of the Memberor Member's spouse or domestic partner.Consultation and Restoration services for eligible dependent children under the age of 26. Identity Fraud Protection Plan ("Protection Plan")for dependents subjectto the complete terms,coverage,conditions,and limitations under the Protection Plan. 10. change to Service Plan. No change in the Service Plans shall be valid until approved by an officer of the Company. No agent can change the Agreement or Service Plans or waive any of its provisions. 11. Confidential Information.
