M <br />CITY OF SANTA ANA <br />D. Contractor must complete an Improvement Plan for each seminar, workshop, <br />tabletop, drill, functional and full-scale exercise delivered. Copies of the <br />Improvement Plan will be provided to the ASAUA Training & Exercise Coordinator <br />within 30 calendar days of any seminars, workshops, tabletops, drills, functional, <br />and full-scale exercises. <br />E. Proposer shall upload, on behalf of the ASAUA, all necessary AARs and <br />Improvement Plans into HSEEP within 30 calendar days of completing any <br />exercise activity. <br />VII. QUANTITIES FOR EXERCISE <br />A. Quantities listed herein are estimates and are not to be construed as a <br />commitment. No minimum or maximum is guaranteed or implied. <br />Vill. PRICING FOR EXCERISES <br />A. All price quotes offered during the RFP process shall remain firm for the initial <br />term of the agreement. <br />B. Unless otherwise stated, Proposer agrees that, in the event of a price decline, <br />the benefit of such lower price shall be extended to the City. <br />C. All prices are to be F.O.B. destination. Any freight/delivery charges are to be <br />included. <br />D. Any price increase or decrease for subsequent contract terms may be negotiated <br />between Proposer and City only after completion of the initial term. <br />E. Taxes and freight charges: <br />1. The City is soliciting a total price per single delivery of each seminar, <br />workshop, tabletop, drill, functional, and full-scale exercise. The price <br />quoted for each seminar, workshop, tabletop, drill, functional, and <br />full-scale exercise shall be the total cost the City will pay including <br />sales, use, or other taxes and all other charges. <br />2. No charge for delivery, drayage, express, parcel post packing, <br />cartage, insurance, license fees, permits, costs of bonds, or any <br />other purpose, except taxes legally payable by City, will be paid by <br />the City unless expressly included and itemized in the proposal. <br />3. Amount paid for transportation of property to the City of Santa Ana is <br />exempt from Federal Transportation Tax. An exemption certificate is <br />not required where the shipping papers show the consignee is the <br />RFP 24-086A City of Santa Ana Page 27 of 64 <br />
