EXHIBIT 2 COOPERATIVE AGREEMENT BY AND BETWEEN THE CITY OF SANTA ANA AND THE SANTA ANA UNIFIED SCHOOL DISTRICT FOR TRAFFIC SIGNAL INSTALLATION AT SEGERSTROM AVENUE & ROSEWOOD AVENUE This Cooperative Agreement ("Agreement") is made and entered into this 21st day of January 2025, by and between the CITY OF SANTA ANA, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"), and the SANTA ANA UNIFIED SCHOOL DISTRICT ("District"). City and District may individually be known as "Party" or collectively as "Parties". RECITALS: A. District constructed a new sports stadium at Saddleback High School. A Traffic Signal Warrant Analysis, conducted on February 23, 2021, determined the need for a new traffic signal at the intersection of Segerstrom Avenue and Rosewood Avenue (the "Project"). B. District cooperated with City's Public Works Agency to design the traffic signal and received approval from the City to proceed with construction of the traffic signal. C. District has requested that City construct and complete the Project. In exchange, District has agreed to provide 100% of all necessary funding for the Project. D. To expedite completion of the Project, City has agreed to construct the Project and will be responsible for bidding the Project, awarding the Project to a qualifying contractor, and constructing the traffic signal, including engineering, inspection & material testing, and construction management. E. City agrees to serve as the lead agency to oversee the construction and implementation of the Project. F. The Parties desire to enter into this Cooperative Agreement to demonstrate their commitment to implementing the Project. G. This Agreement defines the specific terms, conditions and funding responsibilities between City and District for the implementation of the project. NOW, THEREFORE, it is mutually understood and agreed by and between the CITY OF SANTA ANA and the SANTA ANA UNIFIED SCHOOL DISTRICT, the following: SCOPE OF WORK: This Agreement specifies the roles and responsibilities of the Parties, as they pertain to the subjects and Project addressed herein. The Project is specifically detailed in the Plans and Specifications attached hereto as Exhibit A and incorporated herein by this reference. The Parties agree that each will cooperate and coordinate with the other in all activities covered by this Agreement and any other supplemental agreements that may be required to facilitate purposes thereof.
