EXHIBIT 2 <br />COOPERATIVE AGREEMENT BY AND BETWEEN THE CITY OF SANTA ANA <br />AND THE SANTA ANA UNIFIED SCHOOL DISTRICT FOR TRAFFIC SIGNAL <br />INSTALLATION AT SEGERSTROM AVENUE & ROSEWOOD AVENUE <br />This Cooperative Agreement ("Agreement") is made and entered into this 21st day of January 2025, by <br />and between the CITY OF SANTA ANA, a charter city and municipal corporation organized and existing <br />under the Constitution and laws of the State of California ("City"), and the SANTA ANA UNIFIED SCHOOL <br />DISTRICT ("District"). City and District may individually be known as "Party" or collectively as "Parties". <br />RECITALS: <br />A. District constructed a new sports stadium at Saddleback High School. A Traffic Signal Warrant <br />Analysis, conducted on February 23, 2021, determined the need for a new traffic signal at the <br />intersection of Segerstrom Avenue and Rosewood Avenue (the "Project"). <br />B. District cooperated with City's Public Works Agency to design the traffic signal and received <br />approval from the City to proceed with construction of the traffic signal. <br />C. District has requested that City construct and complete the Project. In exchange, District has <br />agreed to provide 100% of all necessary funding for the Project. <br />D. To expedite completion of the Project, City has agreed to construct the Project and will be <br />responsible for bidding the Project, awarding the Project to a qualifying contractor, and <br />constructing the traffic signal, including engineering, inspection & material testing, and <br />construction management. <br />E. City agrees to serve as the lead agency to oversee the construction and implementation of the <br />Project. <br />F. The Parties desire to enter into this Cooperative Agreement to demonstrate their commitment <br />to implementing the Project. <br />G. This Agreement defines the specific terms, conditions and funding responsibilities between City <br />and District for the implementation of the project. <br />NOW, THEREFORE, it is mutually understood and agreed by and between the CITY OF SANTA ANA and <br />the SANTA ANA UNIFIED SCHOOL DISTRICT, the following: <br />SCOPE OF WORK: <br />This Agreement specifies the roles and responsibilities of the Parties, as they pertain to the subjects <br />and Project addressed herein. The Project is specifically detailed in the Plans and Specifications <br />attached hereto as Exhibit A and incorporated herein by this reference. The Parties agree that each will <br />cooperate and coordinate with the other in all activities covered by this Agreement and any other <br />supplemental agreements that may be required to facilitate purposes thereof. <br />
