h. Coordinate community outreach with District regarding the Project and secondary effects of the <br />Project. <br />i. Project closeout and return of any unused contingency monies to District. <br />j. Upon completion of the Project, the Parties agree that City shall become the owner of the <br />Project and be responsible for general maintenance and upkeep of the Project site. <br />IV. RESPONSIBILITIES OF DISTRICT: <br />District agrees to the following responsibilities: <br />a. District shall be responsible for 100% of all costs associated with the construction of the Project <br />and shall provide all necessary funding within thirty (30) days of receipt of an invoice. The <br />amount of the total Project costs shall not exceed $1,242,686.25 which is inclusive of <br />construction contract bid amount, construction administration, inspections, material testing and <br />Project contingency amounts. <br />b. Provide technical representative to assist City in providing responses to contractor requests for <br />information ("RFIs"), including interpretations of the meaning and intent of the drawings and <br />specifications, and assist in achieving the resolution of any problems which may arise. <br />c. Authorize the City to manage, procure materials for, and implement the Project. <br />d. Participate and support Project implementation during construction timeframe. <br />V. REPRESENTATIONS. WARRANTIES AND COVENANTS: <br />a. Each Party represents, warrants and covenants that it has full authority to enter into this <br />Agreement and to perform its obligations under this Agreement. The actions required to be <br />taken by the City in the implementation of this Agreement are delegated to its City Manager or <br />equivalent designee. <br />b. City represents, warrants and covenants that: <br />1. City is the owner of the Project site, as identified and detailed in Exhibit A, and that <br />nothing contained in this Agreement shall be deemed to create or shall be construed <br />as creating in District any property interest in or to the Project site. <br />2. City shall comply with all requirements of all governmental authorities, in force either <br />now or in the future, affecting the Project site, and shall ensure that all Project work <br />shall be performed by the City and/or its representatives in a safe, good, and <br />workmanlike manner. <br />3. City shall furnish all tools, equipment, apparatus, facilities, transportation, labor, and <br />material necessary to perform the Project work as described in Exhibit A of the <br />Agreement. <br />3 <br />
