<br />8 <br /> <br />8 <br /> <br />4. Exhibit D, Section 5, Term and Termination of said Agreemént is her~by amended to strike <br />subsection a in its entirety and replace with: <br /> <br />a. This Maintenance Agreement shall commence upon execution of this agreement and <br />continue in effect for a period of three years. <br /> <br />5. Exhibit D Section 6, Fees and Charges of said Agreement is hereby amended to add: <br /> <br />The fee for the additional customer training shall not exceed $15,000.00 for the three-year period ofthis <br />amendment. . <br /> <br />As per Section 2(e) above, the fee for updates, upgrades, and standard support services shall not exceed <br />$50,200 for the three-year period of this amendment. <br /> <br />The fee increase for the addition of the iVOS application for the first year will be $8,401.13. <br />Maintenance fees for iVOS will not be effective until actual use by the City. Once the initiation of <br />productive use of iVOS takes place, the fee increase will be prorated to run coterminous with the <br />. current maintenance schedule. If iVOS is implemented, the maintenance fee amount shall not <br />exceed $78,200. Certain functions to implement iVOS can be performed by either City or VOS. If <br />City opts to have VOS perform the work, the hourly rate of $187.50 shall be charged for such <br />services, and is estimated to take up to ten days, at a rate not to exceed $15,000. <br /> <br />City shall pay for all on site travel expenses necessary to provide the services offered by VOS, which <br />shall not exceed $5,000 during the three-year period. City shall provide written consent to all <br />reimbursable expenses; which such consent shall not be unreasonably withheld. <br /> <br />6. Option~ 1 Services <br /> <br />City shall have the option to purchase the following services over the three-year period: <br /> <br />. <br /> <br />Develop custom Tf',portS: Analyze reporting needs, then design and develop custom reports <br />based on client requirements. <br />VOS Support F.xtr~ - Supplemental support services which fall outside of the existing Support <br />Maintenance and Service Agreement, such as such as Windows Network Administration, <br />DBA services and Citrix Administration. <br />GeneT~l rommltine: This service typically involves resolving issues in connection with <br />legislative changes, business operation efficiencies, adoption of additional lines of insurance, <br />inclusion of additional insured or the specification of custom functionality. <br /> <br />. <br /> <br />. <br /> <br />These services shall be available at the hourly rate of $187.50, and could take up to fifteen (15) days to <br />conclude the service, and shall not exceed $22,500.00. <br /> <br />The total cost of the additional services included in this amendment, includes $78,200 to cover the cost <br />of the annual maintenance agreement for three years (inclusive of iVOS), and all total costs of this <br />amended agreement shall not exceed $135,700.00. <br /> <br />5. Except as hereinabove modified, the terms and conditions of said Agreement remain unchanged and <br />in full force and effect. <br />
