I time and materials agreement This TIME AND MATERIALS AGREEM~NT (the "Agreement") is made and entered into on [Date], by and between PACIFIC COAST , CABLING, INC., a California corporati~n, an he ~Customer"), who agree as follows: 11. Descriotion of Work. Pacific Coit Cabli will~n an ongoing basis, provide the labor and materials to perform and complete the work-which Customer requests P\;CifiC Coa t Cabl g to perform (the 'Work", description of work or PCC Quotation #) at Customer's facility located at [address of loca on of orkI (the "Property"). Customer will provide Pacific Coast Cabling and any I Pacific Coast Cabling subcontractor with compl te d uninterrupted access to the Property so that Pacific Coast Cabling can perform and until Pacific Coast Cabli compl es the Work. Pacific Coast Cabling may terminate this Agreement at any time upon the delivery of notice to Customer. I 2. Contract Price and Pavment. Customer agrees and is required to pay to Pacific Coast Cabling (a) such amount for the materials used by Pacific Coast Cabling to perform and complete the Work that is charged by Pacific Coast Cabling, and (b) such amount for the tabor provided by Pacific Coast Cabling to perform and complete the Work based upon the following hourly rates per man per hour: "" .. Charges for labor billing will be a minimum of two hours, which includes the following travel time between Pacific Coast Cabling's office and the Property, determined on a daily basis: (A) if eight or m~ce h urs are rendered at the Property, round-trip I time in excess of two hours; and (B) if tess than eight service hours ~endered at he Property, all one-way time and the other one-way time in excess of one hour. Charges for materials and labor are due and payable within thirty (30) business d after delivery to Customer of Pacific Coast Cabling's invoice. Service Char~e. Accounts will be assessed a monthly service charge equal to one and one,-half percent (1l'2 %) of any amounts , not timely paid. If Pacific Coast Cabling takes or commences any action or proceedi~/or hires an attorney to collect any unpaid portion of the amounts due by Customer to Pacific Coast Cabling pursuant~ th~ ('8reeme t or to otherwise enforce this I Agreement, Customer will pay to Pacific Coast Cabling the reasonable attorneYl"f"ees and costs inc rred by Pacific Coast Cabling, which includes, but is not limited to, all expert and other witness fees and associated expenses. P ific Coast Cabling may file or commence such action or preceding in any court of competent jurisdiction which Pacif Coast C ing in its sole discretion determines. The laws of the State in which such action or proceeding is filed or commen govern. 15. Entire A~reement. This Agreement constitutes the sole understanding and agreement between Pacific Coast Customer concerning the performance of and payment for the Work. This Agreement may be amended only by t signed written I. consent of Pacific Coast Cabling and Customer. Customer may not assign Customer's rights or delegate Cust s duties under this Agreement.
