<br />Attachment B <br /> <br />PROFESSIONAL SERVICES AND SOFTWARE LICENSE AGREEMENT <br />BETWEEN KNOWLEDGE COMPUTING CORPORATION AND <br />THE CITY OF NEWPORT BEACH <br /> <br />'It/1 <br />THIS AGREEMENT is made and entered into as of this L day of January. 2005, by <br />and between the CITY OF NEWPORT BEACH, a Municipal Corporation ("City"), and <br />KNOWLEDGE COMPUTING CORPORATION, an Arizona State corporation, whose <br />principal place of business is 6601 East Grant Road, Tucson, AZ 85715 ("Contractor"), <br />and is made with reference to the following: <br /> <br />RECITALS <br /> <br />A. City is a municipal corporation duly organized and validly existing under the <br />laws of the State of California with the power to carry on its business as it is <br />now being conducted under the statutes of the State of California and the <br />Charter of City. <br /> <br />B. Effective January 23, 2004, the City was designated as the lead agency and <br />grant administrator for the monies allocated by the federal government for the <br />Orange County Integrated Law and Justice Project (OCILJ), a Countywide <br />. effort and multi-phase project to integrate the diverse information systems of all <br />criminal justice agencies in the County, pursuant to a COPS MORE grant. <br />These grant monies are held by City on behalf of the OCILJ Steering <br />Committee. The OCILJ Steering Committee, chaired by Chief of Police Bob <br />McDonell of Newport Beach, makes decisions on how these funds are <br />distributed. <br /> <br />C. The OCILJ Project Steering Committee seeks to procure services from a <br />responsible vendor to provide a technical and operational solution to enable the <br />Justice agencies in the County to share information with each other from their <br />records management systems and related databases, and to provide a set of <br />tools that can be used to analyze the data in those systems across <br />jurisdictional boundaries. This particular and critical phase of the OCILJ <br />Project is known as the "RMS/CMS Information Sharing Project," and is being <br />undertaken by the City of Newport Beach on behalf of the justice agencies in <br />Orange County, California. <br /> <br />D. The funds currently allocated under the COPS Office grant are insufficient to <br />implement the entire OCILJ Project and complete the RMS/CMS Information <br />Sharing Project phase. Santa Ana and Anaheim have received a grant entitled <br />"FY04 Urban Area Security Initiative" (UASI grant) from the Federal <br />Department of Homeland Security, Office of Domestic Preparedness, through <br />the State of California, Office of Homeland Security, to enhance Countywide <br />emergency preparedness. <br /> <br />The OCILJ Project, especially the portion related to data sharing among <br />agencies within the County, will substantially enhance homeland security by <br />significantly improving the accessibility and speed of transfer of criminal justice <br />
