<br />. <br /> <br />A-2005-107 <br /> <br />C1'~np""" <br />~it..1i ,A <br /> <br />.. <br /> <br />MEMORANDUM OF UNDERSTANDING <br /> <br />"Five Cities Hydrogen Vehicle Demonstration Project" <br /> <br />This Agreement is between the South Coast Air Quality Management District <br />(AQMD) and The City of Santa Ana (Santa Ana). <br /> <br />WHEREAS, AQMD is the local agency with primary responsibility for regulating <br />stationary source air pollution in the South Coast Air Basin in the State of <br />California; and <br /> <br />WHEREAS, AQMD has an interest in the development of hydrogen fueling <br />infrastructure and demonstration of hydrogen vehicles in the South Coast Basin; <br />and <br /> <br />WHEREAS, Santa Ana also has an interest in the development of its own <br />hydrogen fuel infrastructure and hydrogen vehicle integration into its fleet; and <br /> <br />WHEREAS, the Five Cities Hydrogen Vehicle Demonstration Project consists of <br />the cities of Burbank, Ontario, Riverside, Santa Ana, Santa Monica and the <br />AQMD and exists for the mutual purpose of developing hydrogen fuel <br />infrastructure and hydrogen vehicle demonstrations; and <br /> <br />WHEREAS, a memorandum of understanding is required to outline the <br />responsibilities of the AQMD as well as those of Santa Ana for this project. <br /> <br />NOW, THEREFORE, let it be resolved as follows: <br /> <br />1. Upon execution of this Agreement, the AQMD shall be responsible for: <br />a. Executing contracts for the construction or provision of hydrogen <br />fueling stations with approved contractors, Air Products and <br />Chemicals, Inc. or Praxair, Inc., for each of the participating cities; <br />b. Executing a contract with Quantum Technologies for the conversion <br />of electric hybrid 2004 Toyota Prius vehicles to hydrogen fuel for <br />use in the fleets of the participating cities including a five year <br />maintenance agreement; <br />c. Providing logistical or technical project support for the contractors <br />or city participants as requested; and <br />d. Providing general project support as needed. <br /> <br />2. Upon execution of this Agreement, Santa Ana shall be responsible for: <br />a. Providing five, electric hybrid 2004 Toyota Prius's (gasoline-fueled <br />vehicles) for conversion to hydrogen fuel; <br />
