<br />b. Installing and providing utility infrastructure required for the <br />installation of the hydrogen fueling station at the city site; <br />c. Working with city permitting officials and local fire marshals to <br />facilitate and obtain the required hydrogen fueling station permits; <br />d. Providing adequate land and security fencing or walls as required <br />for the hydrogen fueling station according to contractor and <br />permitting authority needs; <br />e. Providing city staff onsite to conduct vehicle fueling and assist with <br />minor maintenance on the hydrogen fueling station for the five-year <br />project term; and <br />f. Providing input to contractors regarding issues with vehicles and <br />fueling station to allow them to maintain the vehicles and fueling <br />station at optimal conditions. <br /> <br />3A. INDEMNIFICATION <br />Santa Ana agrees to hold harmless, indemnify, and defend AQMD, its <br />officers, employees, and agents, against any and all loss, damage, <br />cost, claim, or expense which AQMD may incur or be required to pay <br />by reason of any injury or property damage caused or incurred by <br />Santa Ana, its employees, subcontractors, or agents in the <br />performance of this MOU. <br /> <br />3B. INDEMNIFICATION <br />CONTRACTOR, Air Products and Chemicals, Inc. (APCI) agrees to <br />hold harmless, indemnify, and defend AQMD, its officers, employees, <br />agents, representatives, and successors-in-interest against any and all <br />direct losses, damage, cost or expenses which AQMD, its officers, <br />employees, agents, representatives, and successors-in-interest may <br />incur or be required to pay by reason of any injury or property damage <br />caused or incurred by CONTRACTOR (APCI), its employees, <br />subcontractors, or agents as a result of the performance of the <br />hydrogen fueling station construction and installation contract. <br /> <br />4.
