"'- I"""'RANCE NOT REQUIRJQI!~ 137 WORK MAY PROCEED CLERK OF COUNCIL DATE: 7-((-"( t~(f,1 AGREEMENT FOR GOVERNMENT LIAISON SERVICES This AGREEMENT, dated July 1, 2001, by and between the city of Santa Ana, a municipal corporation of the State of Cali fomi a ("City") and The Ferguson Group, L.L.C. ("Consultant") ; WITNESSETH In consideration of their mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties hereto do hereby agree as follows: I. PERFORMANCE BY CONSULTANT Consultant agrees to perform those duties set forth in Exhibit A, attached hereto and incorporated herein by reference. The time period during which Consultant shall perform such duties pursuant to this Agreement shall commence on the date of this Agreement and shall terminate on June 30, 2002. II. COMPENSATION A. As total compensation for Consultant's services under this Agreement, City agrees to pay, and Consultant agrees to accept, compensation at the rate of $5,000 (five thousand dollars) per month for time spent by Consultant in the performance of this Agreement, the total amount payable to Consultant under this Agreement shall not exceed $60,000 (sixty thousand dollars). B. Consultant shall submit a bill for services rendered and expenses incurred not more than once each calendar month. Each such billing shall be accompanied by a detailed statement of services rendered. City shall pay each proper billing within thirty (30) days of receipt thereof. III. INDEPENDENT CONSULTANT Consultant is an independent contractor and not an employee of city and any and all of Consultant's personnel shall be employees or subcontractors of Consultant and not employees of City. Consultant agrees to pay all salaries and wages, employer's social security taxes, unemployment insurance and other taxes due on account of the performance of Consultant's employees or subcontractor's services pursuant to this Agreement. Consultant also agrees to be responsible for all applicable withholding taxes for said employees and subcontractors.
