Application, but that does not alter the <br />functionality of such Visiphor Application <br />and that is provided to the City after the <br />City's acceptance of such Visiphor <br />Application in accordance with the Statement <br />of Work. Maintenance Modifications are <br />provided at no additional cost during the <br />warranty period or any extended support <br />period. <br />(f) "Object Code" shall mean computer programs <br />assembled or compiled from Source Code in <br />magnetic or electronic binary form on <br />software media, which are readable and usable <br />by machines, but not generally readable by <br />humans without reverse-assembly, reverse- <br />compiling, or reverse-engineering. <br />(g) "Source Code" shall mean computer programs <br />written in higher-level programming <br />languages, sometimes accompanied by English <br />language comments. Source Code is <br />intelligible to trained programmers and may <br />be translated to Object Code for operation on <br />computer equipment through the process of <br />compiling. <br />(h) "Third-Party Products" shall mean all <br />software components specified in the Project <br />Deliverables and delivered by Visiphor under <br />this Agreement for integration into the <br />System other than the Visiphor Applications. <br />(i) "Visiphor Application" shall mean any <br />Visiphor-supplied products and interfaces, <br />and all modules corresponding thereto <br />developed by the Contractor and delivered to <br />the City under this Agreement and in <br />accordance with the As-Built Specifications <br />relating thereto, including all Maintenance <br />Modifications thereto, all Derivative Works <br />thereof, and all related Documentation. <br />2.4.2 Ownership of Software. The City acknowledges <br />that at all times the Contractor shall retain <br />title to, ownership of and all applicable <br />patents, copyrights and trade secrets in any <br />Visiphor Applications (including all Derivative <br />Works, Maintenance Modifications, Enhancements <br />Primary Agreement June 15, 2006 Page 5 <br />
