PART II <br />ACQUISITION OF INTEGRATED PUBLIC SAFETY 3YSTEM <br />2.1 Order and Delivery. All software specified in the Project <br />Deliverables shall be delivered by the Contractor in time <br />to comply with the requirements of the Project Schedule. <br />2.2 Equipment Condition and Availability - Not applicable. <br />2.3 Acceptance. The City's acceptance of each component of the <br />System shall be as set forth in the Statement of Work. <br />2.4 Proprietary Rights in Hard~rare and Maaufacturer's Soft rare. <br />2.4.1 Definitions. For purposes of this Agreement, the <br />following capitalized terms shall be defined as <br />set forth herein: <br />(a) "Acceptance" shall mean the completion of the <br />City's performance, functional and <br />reliability tests on the last Visiphor <br />Application installed. <br />(b) "As-Built Specifications" shall mean, with <br />respect to any of the Visiphor Applications, <br />the specifications for such Visiphor <br />Application(s) delivered to the City upon the <br />City's acceptance of such Visiphor <br />Application in accordance with the Statement <br />of Work. <br />(c) "Documentation" shall mean, with respect to <br />any Visiphor Application, those printed <br />instructions, manuals, and diagrams <br />pertaining to and furnished with such <br />Visiphor Application. <br />(d) "Error" shall mean, with respect to any <br />Visiphor Application, a defect in the <br />Visiphor Application that prevents such <br />Visiphor Application from functioning in <br />accordance with the published specifications <br />pertaining thereto. <br />(e) "Maintenance Modifications" shall mean, with <br />respect to any Visiphor Application, a <br />computer software change to correct an Error <br />in, and integrated into, such Visiphor <br />Primary Agreement June 15, 2006 Page 4 <br />
