SOFTWARE SUPPORT AGREEMENT <br />Client: Santa Ana Fire Department <br />Address: 1439 S. Garcia, Fire Chief <br />This Agreement is made this day of , 2006 by and between TriTech <br />Software Systems, referred to as "TriTech", with offices at 9860 Mesa Rim Road, San Diego, <br />California 92121 and Client named above, referred to as "Client'. <br />A. WHEREAS, TriTech and Client have entered into a System Purchase Agreement <br />dated , (the "Purchase Agreement'); <br />B. WHEREAS, this Software Support Agreement is entered into to provide Software <br />Support for the TriTech Software for a period of one year, subject to annual renewal thereafter; <br />NOW, THEREFORE, in consideration of the terms, promises, mutual covenants and <br />conditions contained in this Agreement, TriTech and Client agree as follows: <br />1.0 DEFINITIONS <br />All capitalized terms used in this Agreement and not otherwise defined herein shall have <br />the meanings given them in the Definitions section of the Purchase Agreement, which section is <br />incorporated by reference herein as though set forth in full. <br />2.0 TERM <br />The initial term of Software Support services provided under this Agreement shall begin <br />at the end of the Warranty Period and end twelve (12) months thereafter. Software Support for <br />subsequent annual terms shall be subject to renewal of this Agreement and payment of the <br />renewal Software Support fees. On or before the expiration of the Warranty Period, and at each <br />annual anniversary thereof, TriTech shall provide to Client a Software Support Renewal <br />Agreement for signature.
