<br />(ii) FOSAZ shall obtain approval from the Zoo Manager prior <br />to renting out any area of the Zoo. The Zoo Manager shall <br />be pennitted to deny any facility rental or to limit the scope <br />of the rental at his sole and absolute discretion. <br /> <br />(Hi) FOSAZ shall oversee the rental of equipment and facilities <br />and shall be responsible for primary maintenance of such <br />rentals. <br /> <br />(iv) FOSAZ shall have a designated staff member present <br />during the entirety of the private event. FOSAZ shall be <br />responsible for ensuring the designated staff member <br />follows closing and lock-up procedures established by Zoo <br />Manager. A copy of the Closing and Lock-Up Procedures <br />are attached hereto as Exhibit A. The Zoo Manager may <br />modifY these procedures from time to time, and shall <br />provide FOSAZ with a copy of the modified closing and <br />lock-up procedures. <br /> <br />(v) FOSAZ shall be responsible for cleaning up the rental <br />location upon the conclusion of the private event. <br /> <br />(vi) CITY shall have the right to restrict access and rent the <br />Rentable Areas without paying a rental fee to FOSAZ. <br /> <br />IV. Section 6.5 is hereby added to the agreement as follows: <br /> <br />6.5. Annua1 Review of this Al!Ieement <br /> <br />Commencing on July 1, 2007 and annually thereafter, the Zoo <br />Manager shall review this agreement to ascertain whether the agreement <br />adequately addresses the relationship between the CITY and FOSAZ. It <br />shall not be deemed a breach of this agreement if the Zoo Manager fails to <br />conduct the annual review. Nothing contained herein sha11 prohibit either <br />party from requesting an amendment to the agreement at any time. <br /> <br />V. Section 8. Insurance is hereby amended to read as follows: <br /> <br />8. Insurance <br /> <br />FOSAZ shall maintain throughout the Agreement at its sole cost, and <br />file with the Clerk of the Council, commercial general liability insurance <br />naming the CITY, its officers, employees, agents, volunteers and <br />representatives as additional insured( s) and shall include, but not be <br />limited to protection against claims arising from bodily and personal <br />injury, including death resulting therefrom and damage to property, <br />resulting from any act or occurrence arising out ofFOSAZ's operations in <br />
