the performance of this Agreement, including, without limitation, acts involving vehicles. The amounts of insurance shall be not less than the foIIowing: single limit coverage applying to bodily and personal injury, including death resulting therefrom, and property damage, in the total amount of $ I ,000,000 per occurrence. FOSAZ shaII supply CITY with a fuIIy executed additional insured endorsement in substantially the form attached hereto as Exhibit B upon execution of this Agreement and shall be approved in form by the City Attorney. VI. Section 8.5 Indemnification is hereby added to the Agreement as foIIows: 8.5 Indemnification. A. FOSAZ agrees to and shall indemnify and hold harmless the CITY its elected and appointed officers, agents, employees, consultants, and representatives from liability for any claims demands or liability of any kind or nature including but not limited to personal injury or property damage arising from or related to the services or other performance provided by FOSAZ pursuant to this Agreement, except as provided in paragraph B below. b. CITY agrees to indemnify and hold harmless FOSAZ its board of directors, employees, and volunteers from liability for any claims demands or liability of any kind or nature including but not limited to personal injury or property damage arising from or related to the CITY's sole active or passive negligence or reckless conduct in the performance in performing the services to be provided by CITY pursuant to this Agreement. VII. Section I I. Governing Law is hereby amended to read as foIIows: I I. Governing Law PARTIES agree that all applicable Federal, State and City laws and regulations pertaining to solicitation of funds and non-profit organizations shall be complied with. VIII. Except as modified by this amendment, the terms and conditions of said Agreement remain unchanged and in fuII force and effect.
