INSURANCE NOT ON FILE WORK MAY NO PROCEED CLERK OF COUNCIL DATE: `i- 3 -6,7 o: Police FIRST AMENDMENT TO DIGITAL IMAGING MANAGEMENT SYSTEM MAINTENANCE AGREEMENT A-2005-166-01 THIS FIRST AMENDMENT TO AGREEMENT, is entered into on March 28, 2007, by and between Linear Systems ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). RECITALS: A. The parties entered into Agreement # A-2005-166, dated July 21, 2005, (hereinafter "said Agreement") by which Consultant has provided digital imaging software and maintenance for use by the City's Police Department Forensic Division. B. In accordance with the terms and conditions of said Agreement, the parties wish to purchase additional equipment and extend the term of the software support and maintenance provisions and increase compensation to pay for those services during the extended term. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Agreement, the parties agree as follows: 1. Section I.I., SCOPE OF SERVICES — Maintenance Agreement, shall be amended to include the installation of equipment and provide 1 -year on-site warranties and maintenance and support services for the components of the D.LM.S. System, as set forth in Exhibit A-1, attached hereto and incorporated by this reference. The extended warranty and maintenance and support terms shall commence on April 4, 2007 and continue for the number of annual terms as set forth in Exhibit A-1. 2. Section 3.a, COMPENSATION, shall be amended to increase compensation by $25,000.00 to pay for the additional equipment and on-site warranty, maintenance and support for Download Stations, ImageServer, Database Case Management Rack Server, Linear PDD Library, Forensic Services Lab Kit XL -2, and Digital Output Devices, and to pay for an additional two-year warranty for Forensic Services Field Personnel Kits and Forensic Services Lab Kit 20D, as set forth in Exhibit A-1. 3. Section 4, TERM, shall be amended to extend the warranties, maintenance and support as set forth in Exhibit A-1. 4. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect.
