LICENSE AGREEMENT <br />THIS AGREEMENT, made and entered into this -71tt�,, day <br />of h-N" , 1979, by and between the City of Santa <br />Ana, a municipal corporation of the State of California, <br />( "CITY ") and Southwest Santa Ana Little League, Inc., a non- <br />profit corporation of the State of California, and Santa Ana <br />Pop Warner Football, Inc., a non - profit corporation of the <br />State of California, ( "LICENSEES "), jointly and severally. <br />W I T N E S S E T H <br />Recitals: <br />1. LICENSEES sponsor and conduct youth recreation <br />programs at Memorial Park, a public park owned and operated <br />by CITY. <br />2. CITY desires to support public recreation programs <br />in general, and LICENSEES' youth recreation programs in <br />particular. LICENSEES and CITY desire to continue providing <br />public recreation programs and, in conjunction therewith, <br />intend to provide for the construction of a concession stand <br />on Memorial Park to be owned and operated by LICENSEES. <br />WHEREFORE, in consideration of the mutual and <br />respective covenants and promises hereinafter contained and <br />made, and subject to all the terms and conditions hereof, <br />the parties hereto do hereby agree as follows: <br />5, 1/79 <br />P <br />1. CITY hereby licenses LICENSEES to occupy and use <br />that certain portion of Memorial Park, that is designated <br />"Concession Stand Location" on the map attached hereto, <br />identified as "Exhibit 1" and incorporated herein by this <br />reference as though fully set forth, but only for the purposes <br />and upon and subject to the conditions set forth hereinafter. <br />2. The term of this license shall be for the period <br />commencing upon execution of this Agreement and ending <br />December 31, 1982, or when this Agreement is terminated as <br />hereinafter provided, whichever occurs first. <br />LICENSEES, or either of them may extend this License <br />Agreement upon the expiration of the term or terms hereof <br />for an additional term of three (3) years provided LICENSEES <br />are not in default and CITY consents, which consent shall <br />not be unreasonably withheld. This option to extend shall <br />be exercised within thirty (30) days after the end of any <br />such term. <br />-1- <br />
