Formal notices, demands and communications to be given hereunder by either <br />party shall be made in writing and may be effected by personal delivery or by <br />registered or certified mail, postage prepaid, return receipt requested and shall be <br />deemed communicated as of the date of mailing. <br />C. If the name of the person designated to receive the notices, demands or <br />communications or the address of such person is changed, written notice shall be <br />given, in accord with this section, within five (5) business days of said change. <br />§103. Independent Party <br />ST. JOSEPH is acting hereunder as an independent party, and not as an agent or <br />employee of the CITY. No employee of ST. JOSEPH is, or shall be an employee <br />of the CITY by virtue of this Agreement, and ST. JOSEPH shall so inform each <br />employee organization and each employee who is hired or retained under this <br />Agreement. ST. JOSEPH shall not represent or otherwise hold out itself or any of <br />its directors, officers, partners, employees, or agents to be an agent or employee <br />of the CITY. <br />§104. Conditions Precedent to Execution of This Aareement <br />a. ST. JOSEPH shall provide signed copies of the Grant Assurances in <br />accordance with section 412C of this Agreement, attached hereto as Exhibit A and <br />made part hereof. It is understood that these Grant Assurances are intended for <br />multiple grant types, and that assurances are only to the extent any assurance is <br />applicable to said Project and required by the granting authority. CITY does not <br />independently require such assurance. <br />b. ST. JOSEPH acknowledges that the funds provided pursuant to this <br />Agreement are not sufficient to complete sai ject. ST. JOSEPH has matching <br />funds required to complete said Project ~~~ ~- <br />c. ST. JOSEPH shall comply fully with the provisions of the FY07 Pre-Disaster <br />Mitigation Grant Program, including those provisions set forth in Agreement <br />Number EMF-2007-PC-004, attached hereto as Exhibit B and incorporated by <br />reference, and Grant Administration Procedures provided by the Governor's <br />Office of Emergency Services, attached hereto as Exhibit C, and incorporated by <br />reference. <br />II. <br />TERM AND SERVICES TO BE PROVIDED <br />§201.
