<br />Docusign Envelope ID: 6DA6840A-CBC0-4053-80F1-F219D97CE273 <br />MOU No. :M-017-25 <br />SCAG Project/OWP No. :305.4927.03 <br />MEMORANDUM OF UNDERSTANDING <br />No. M-017-25 <br />BETWEEN THE <br />SOUTHERN CALIFORNIA ASSOCIATION OF GOVERNMENTS <br />AND CITY OF SANTA ANA <br />AND CHARITABLE VENTURES <br />AND THE KENNEDY COMMISSION <br />FOR REAP 2.0 SUSTAINABLE COMMUNITIES PROGRAM - CIVIC ENGAGEMENT, <br />EQUITY, AND ENVIRONMENTAL JUSTICE GRANT <br />(SCAG Project/OWP No. 305.4927.03) <br />This Memorandum of Understanding (“MOU”) is entered into by and between the Southern California <br />Association of Governments (“SCAG”), City of Santa Ana (“Sub-Recipient”), Charitable Ventures <br />(“CV”), and The Kennedy Commission (“KC”) for a Sustainable Communities Program – Civic <br />Engagement, Equity, and Environmental Justice (“SCP CEEEJ”) Grant. SCAG, Sub-Recipient, CV, and KCIn Processmay be individually referred to as “Party” and collectively as “Parties.” CV and KC shall be jointly <br />referred to as “the Community-Based Organizations” or “the CBOs.” Sub-Recipient and the CBOs shall <br />be collectively referred to as “Recipients.” <br />RECITALS <br />WHEREAS, the Regional Early Action Planning Grants Program of 2021 (“REAP 2.0”) was established <br />with a principal goal to make funding available to Metropolitan Planning Organizations (“MPO”) and <br />other regional entities for transformative planning and implementation activities that meet housing and <br />equity goals, reduce Vehicle Miles Traveled per capita, and advance implementation of the region’s <br />Sustainable Communities Strategy or Alternative Planning Strategy, as applicable; <br />WHEREAS, the California Department of Housing and Community Development (“HCD”) administers <br />REAP 2.0 in accordance with Health and Safety Code sections 50515.06 to 50515.10 (“Statutes”) and <br />REAP 2.0 guidelines for MPO applicants released by HCD pursuant to the Statutes (“REAP 2.0 <br />Guidelines”); <br />WHEREAS, SCAG is the federally designated MPO for Southern California, primarily responsible for <br />the development of a Regional Transportation Plan/Sustainable Communities Strategy (“RTP/SCS” also <br />known as “Connect SoCal”) for the counties of Imperial, Los Angeles, Orange, San Bernardino, Riverside, <br />and Ventura; <br />WHEREAS, HCD awarded funds to SCAG under REAP 2.0; <br />WHEREAS, SCAG’s Regional Council authorized funding for the SCP CEEEJ Program (“Program”) and <br />approved guidelines for the Program (“Program Guidelines”); <br />WHEREAS, SCAG released a Call for Applications for the Program; <br />Page 2
