<br />Docusign Envelope ID: 6DA6840A-CBC0-4053-80F1-F219D97CE273 <br />MOU No. :M-017-25 <br />SCAG Project/OWP No. :305.4927.03 <br />WHEREAS, Recipients, eligible for funds under the Program, developed and submitted a proposed project <br />for the Program (“Project”); <br />WHEREAS, SCAG reviewed the Project and determined the Project to be consistent with the REAP 2.0 <br />Guidelines and Program Guidelines, and approved the Project to receive funding; and <br />WHEREAS, the purpose of this MOU is to describe the responsibilities of the Parties. <br />NOW THEREFORE, IT IS MUTUALLY AGREED THAT: <br />1. Recitals and Exhibits <br />The Recitals and all exhibits referred to in this MOU are incorporated herein by this reference and <br />made a part of the provisions of this MOU. <br />2. Term <br />In ProcessThe Term of this MOU shall begin on the Effective Date and continue until June 30, 2026, <br />(“Completion Date”), unless terminated earlier as provided herein. Time is of the essence in the <br />performance of services under this MOU. <br />3. Scope of Work and Responsibilities of the Parties <br />a. SCAG will: <br />i. Contribute funding for the Project in accordance with Section 5, Funding, below. <br />ii. Procure a consultant (“Consultant”) to perform the services required for the Project in <br />accordance with SCAG’s Procurement Policies and Procedures. <br />iii. Oversee and manage Consultant’s activities in performing the services required for the Project. <br />iv. Review, approve, and pay Consultant’s invoices and review and approve Consultant’s <br />deliverables; however, prior to approving an invoice or deliverable from the Consultant, <br />SCAG’s Project Manager shall consult with Sub-Recipient’s Project Manager. <br />v.Review, approve, and pay the CBOs’ invoices and review and approve the CBOs’ deliverables; <br />however, prior to approving an invoice or deliverable from the CBOs, SCAG’s Project <br />Manager shall consult with Sub-Recipient’s Project Manager. <br />b. Sub-Recipient will: <br />i. Perform its duties under this MOU, in accordance with the REAP 2.0 Guidelines, the Program <br />Guidelines, applicable Federal and State requirements, and the provisions of this MOU. <br />ii. Provide written approval of Consultant’s scope of work prior to SCAG directing the Consultant <br />to begin the work. <br />Page 3
