If any issues arise due to nonconformance with the above-mentioned <br />accessibility Standards, the Contractor agrees to provide alternative solutions upon request at no additional charge to <br />the State. <br />When updates or upgrades are made to the products or services available through this Contract, the Contractor agrees <br />to document how the changes will impact or improve the product’s or service’s accessibility and usability. This <br />documentation, upon request, must be provided to the Lead State in advance of the change, occurring within an agreed <br />upon timeframe sufficient for the state to review the changes and either approve them or request a remediation plan <br />from the Contractor. Contractor warrants that its Products comply with the above-mentioned accessibility Standards <br />and agrees to indemnify, defend, and hold harmless the Lead State against any claims related to non-compliance of <br />Contractor’s Product with the above-mentioned accessibility Standards. If agreed-upon updates fail to improve the <br />product or service’s accessibility or usability as planned, the failure to comply with this requirement may be cause for <br />contract cancellation or for the Lead State to consider the Contractor in default. <br /> Conflict Minerals. <br />Contractor agrees to provide information upon request regarding adherence to the Conflict Minerals section of the <br />Dodd-Frank Wall Street Reform and Consumer Protection Act (Section 1502). <br />See: http://beta.congress.gov/111/bills/hr4173/111hr4173enr.pdf#page=838 <br />http://www.sec.gov/news/press/2012/2012-163.htm <br /> Hazardous Substances. <br />To the extent that the goods to be supplied by the Contractor contain or may create hazardous substances, harmful <br />physical agents or infectious agents as set forth in applicable state and federal laws and regulations, the Contractor must <br />provide Material Safety Data Sheets regarding those substances. A copy must be included with each delivery. <br /> Copyrighted Material Waiver. <br />The Lead State reserves the right to use, reproduce and publish proposals in any manner necessary for State agencies <br />and local units of government to access the responses, including but not limited to photocopying, State <br />Intranet/Internet postings, broadcast faxing, and direct mailing. In the event that the response contains copyrighted or <br />trademarked materials, it is the responder’s responsibility to obtain permission for the Lead State to reproduce and <br />publish the information, regardless of whether the responder is the manufacturer or reseller of the products listed in the <br />materials. By signing its response, the responder certifies that it has obtained all necessary approvals for the <br />reproduction and distribution of the contents of its response and agrees to indemnify, protect, save and hold the Lead <br />State, its representatives and employees harmless from any and all claims arising from the violation of this section and <br />agrees to pay all legal fees incurred by the Lead State in the defense of any such action. <br /> Publicity. <br />The Contractor shall make no representations of the State’s opinion or position as to the quality or effectiveness of the <br />products or services that are the subject of the Master Agreement without the prior written consent of the State’s <br />Assistant Director or designee of Office of State Procurement. Representations include any publicity, including but not <br />limited to advertisements, notices, press releases, reports, signs, and similar public notices. <br /> Performance While Dispute is Pending. <br />Notwithstanding the existence of a dispute, the parties shall continue without delay to carry out all of their <br />responsibilities under the Master Agreement that are not affected by the dispute.
