Page 33 of 48 <br /> Organizational Conflicts of Interest. <br />An organizational conflict of interest exists when, because of existing or planned activities or because of relationships <br />with other persons: <br /> the Contractor is unable or potentially unable to render impartial assistance or advice to the State; <br /> the Contractor’s objectivity in performing the work is or might be otherwise impaired; or <br /> the Contractor has an unfair competitive advantage. <br />The Contractor agrees that if an organizational conflict of interest is discovered after award, an immediate and full <br />disclosure in writing shall be made to the Assistant Director of the Lead State’s Department of Administration’s Office of <br />State Procurement that shall include a description of the action the Contractor has taken or proposes to take to avoid or <br />mitigate such conflicts. If an organizational conflict of interest is determined to exist, the Lead State may, at its <br />discretion, cancel the Master Agreement. In the event the Contractor was aware of an organizational conflict of interest <br />prior to the award of the Master Agreement and did not disclose the conflict to the Master Agreement Administrator, <br />the Lead State may terminate the Master Agreement for default. The provisions of this clause shall be included in all <br />subcontracts for work to be performed, and the terms “Contract,” “Contractor,” “Master Agreement”, “Master <br />Agreement Administrator” and “Contract Administrator” modified appropriately to preserve the State’s rights. <br /> Certification Regarding Debarment, Suspension, Ineligibility and Voluntary Exclusion <br /> Certification regarding Debarment, Suspension, Ineligibility and Voluntary Exclusion – Lower Tier Covered <br />Transactions. Instructions for certification: <br /> By signing and submitting this proposal, the prospective lower tier participant [responder] is providing the <br />certification set out below. <br /> The certification in this clause is a material representation of fact upon which reliance was placed when this <br />transaction was entered into. If it is later determined that the prospective lower tier participant knowingly <br />rendered an erroneous certification, in addition to other remedies available to the federal government, the <br />department or agency with which this transaction originated may pursue available remedies, including <br />suspension and debarment. <br /> The prospective lower tier participant shall provide immediate written notice to the person to whom this <br />proposal [response] is submitted if at any time the prospective lower tier participant learns that its certification <br />was erroneous when submitted or had become erroneous by reason of changed circumstances. <br /> The terms covered transaction, debarred, suspended, ineligible lower tier covered transaction, participant, <br />person, primary covered transaction, principal, proposal, and voluntarily excluded, as used in this clause, have <br />the meaning set out in the Definitions and Coverages section of rules implementing Executive Order 12549. You <br />may contact the person to which this proposal is submitted for assistance in obtaining a copy of those <br />regulations. <br /> The prospective lower tier participant agrees by submitting this response that, should the proposed covered <br />transaction be entered into, it shall not knowingly enter into any lower tier covered transaction [subcontract <br />equal to or exceeding $25,000] with a person who is proposed for debarment under 48 CFR part 9, subpart 9.4, <br />debarred, suspended, declared ineligible, or voluntarily excluded from participation in this covered transaction, <br />unless authorized by the department or agency with which this transaction originated. <br />DocuSign Envelope ID: 87F53414-136E-413E-907B-A408CF7AA97C
