SENTRY OBLIGATIONS <br />a. Sentry shall provide equipment and installation services as set forth in <br />Sentry Proposals GJ-39553-1E (IRC); GJ-39869-2E (Stadium); and GJ-39961-6E <br />(Courthouse), (or updated versions of said proposals as may be approved by City) <br />attached hereto as Exhibits A, B and C, respectively (hereinafter "Projects(s)"). All <br />required training shall be completed prior to City's acceptance of the PRCS. <br />b. Sentry shall comply with the installation timeline approved by City, attached <br />hereto as Exhibit D, and incorporated by this reference. <br />c. Sentry shall provide to City a Performance Bond for one-hundred percent <br />(100%) of the contract price, issued by an admitted surety, to guaranty faithful <br />performance of all work, within the time prescribed, in a manner satisfactory to the City, <br />and to guarantee that all materials and workmanship will be free from original or <br />developed defects. The bond shall remain in effect until the termination of all warranty <br />periods for the equipment and installation services. <br />d. Sentry shall provide to City a Payment Bond for one-hundred percent (100%) <br />of the contract price, issued by an admitted surety. Sentry will provide Mechanics and <br />Materialman's lien release or Supplier's lien release, to City, prior to City's release of <br />final payment to Sentry. <br />e. Should Sentry fail to correct deficiencies or public nuisances that have been <br />created because of its operation, then these will be considered to be of an emergency nature, <br />and will call for the City, or its authorized representative, to move in on the project to take <br />corrective action. Such work will be done on a force account basis with an additional <br />callout charge. There is a minimum two-hour charge for labor on any callout plus an addi- <br />tional callout charge of $300. <br />County Purchase of Additional PARCS <br />(1) Sentry will extend the terms and conditions and pricing related to the <br />PARCS, to the County for a period of ninety (90) days from the completion of said <br />Project(s). Sentry will be obligated to provide the exact item(s) and service(s) at the cost set <br />forth in Sentry's Proposals attached hereto. County shall be responsible for issuance of its <br />acceptance and providing payment. If Sentry cannot provide the exact item(s) or service(s) <br />when requested by County, Sentry may not provide substitute items or services under this <br />provision. <br />(2) County will hold harmless the City of Santa Ana from all claims, <br />demands, actions or causes of action of every kind resulting directly or indirectly, arising out <br />of or in any way connected the purchase of additional PARCS pursuant to this section. For <br />such purchase, County will be responsible for obtaining certificates of insurance and bonds, <br />as required. The City makes no guarantee of County purchase pursuant to this section. <br />2 <br />
