1. DEI'INITI~NS <br />All terms used in the singular will be deemed to include the plural, and vice versa. The <br />words "herein," "hereto," and "hereunder" and words of similar iznpoz•t refer to this <br />Agreement as a whole, including all exhibits or other attachments to this Agreement, as <br />the same may fiom time to time be amended or supplemented, and not to any particular <br />subdivision contained in this Agreement, except as the context clearly requires otherwise. <br />"Includes" or "including" when used herein is not intended to be exclusive, or to limit the <br />generality of the preceding words, and means "including without limitation." The word <br />"or" is not exclusive. <br />1.1. Agreement: This document and all exhibits attached hereto, and as amended <br />from tune to time. <br />1.2. Authorized Budget: The Commission approved maximum budget for funding <br />the performance by both Parties of the Program, as set forth in the Program <br />Implementation Plan attached hereto as Exhibit C. <br />1.3. Authorized Work: The work authorized by the Commission for the Program <br />as set forth in this Agreement and as more fully described in the Program <br />Implementation Plans attached hereto as Exhibit C, and as mutually agreed <br />hereinafter by the Parties to be performed. <br />1.4. Business Day: The period from one midnight to the following midnight, <br />excluding Saturdays, Sundays, and holidays. <br />1.5. Calendar Day: The period from one midnight to the following midnight, <br />including Saturdays, Sundays, and holidays. Unless otherwise specified, all days in <br />this Agreement are Calendar Days. <br />1.6. Contractor: An entity contracting directly or indirectly with a Party, or any <br />subcontractor thereof subcontracting with such Contractor, to furnish services or <br />materials as part of or directly related to such Party's Authorized Work obligations. <br />1.7. Customers or Eligible Customers: Those customers eligible for Program <br />services, which are SCE customers located in the City. <br />1.8. Energy Efficiency Measure (or Measure}: As used in the Commission's <br />Energy Efficiency Policy Manual, Version 4, August 2008. <br />1.9. EM&V: Evaluation, Measurement and Veztification of the Program pursuant <br />to Commission requirements. <br />1.10. Incentive: As used in the Commission's Energy Efficiency Policy Manual, <br />Version 4, August 2008. <br />1.11. Partner Budget: That portion of the Authorized Budget, which represents <br />the maximum budget and maximum allocation by period, for funding the <br />ENERGY LEADER PARTNERSHIP PROGRAM AGREEMENT <br />
