performance of the Program by the City and as set forth in Exhibit B, subject to <br />amendment by SCE consistent with the terms of this Agreement. <br />1.12. Program Expenditures: Actual (i.e., no mark-up for profit, administrative or <br />other indirect costs), reasonable expenditures of the City that are pre-approved, <br />directly identifiable to and required for the Authorized Work in accordance with <br />Section 10.3. <br />1.13. PIP or Program Implementation Plan: The implementation plan specific to <br />this Partnership, together with the Energy Leader Partnership Master PIP, which <br />include the anticipated scope of the Program in SCE's service territory, approved by <br />the Commission and attached hereto as Exhibit C. <br />1.14. Public Goods Charge (PGC): The funds which make up the Partner Budget <br />and which are collected from electric utility ratepayers pursuant to Section 381 of <br />the California Public Utilities Code for public purposes programs, including energy <br />efficiency programs approved by the Commission. <br />2. PURPOSE <br />The Program is funded by California utility ratepayers and is administered by SCE <br />under the auspices of the Commission. The purpose of this Agreement is to set forth the <br />terms and conditions under which the Parties will jointly implement the Program. The <br />work authorized pursuant to this Agreement is not to be performed for profit. <br />This Agreement is not intended to and does not form any "partnership" within the <br />meaning of the California Uniform Partnership Act of 1994 or otherwise. <br />3. PROGRAM DESCRIPTION <br />3.1. Overview. The Energy Leader Partnership Program is designed to provide <br />integrated technical and financial assistance to help local governments effectively <br />lead their co~nmunities to increase energy efficiency, reduce greenhouse gas <br />emissions, protect air quality and ensure that their communities are more livable <br />and sustainable. The Program provides aperformance-based opportunity for the <br />City to demonstrate energy efficiency leadership in its community through energy <br />saving actions, including retrofitting its municipal facilities as well as providing <br />opportunities for constituents to take action in their homes and businesses. By <br />implementing measures in its own facilities, the City will lead by example as the <br />City and SCE worl~ together to increase community awareness of enen•gy efficiency <br />and position the City as a leader in energy management practices. The Program <br />will provide marketing, outreach, education, training and community sweeps to <br />connect the community with opportunities to save energy, money and help the <br />environment. Delivering sustainable energy savings, promoting energy efficiency <br />lifestyles, and achieving an enduring leadership role for the City through this <br />Program design is rooted in an effective relationship between the City, its <br />constituents, and SCE. <br />ENERGl` LEADER PARTNERSHIP PROGRAM AGREEMENT 4 <br />
