f <br /> EXHIBIT 3 <br /> Total Cost per youth:$827 <br /> 11.StandUp hereby represents and warrants that it has no financial, business, <br /> professional, personal, or other interest, including, but not limited to, the <br /> representation of other parties, that would conflict in any manner or degree <br /> with the performance of its obligations under this MOU. Such conflicts <br /> include those contemplated by Government Code section 1090, the <br /> California Political Reform Act (Government Code Section 87100 et seq.), <br /> and other California law. <br /> 12. Invoices will be paid in full within 30 days. <br /> C. Mutual Responsibilities: <br /> 1. This MOU shall be reviewed by all parties. This MOU may be amended at any <br /> time by mutual written agreement of the parties. it may also be cancelled <br /> at any time by either party upon not less than fifteen (15) days written <br /> notice to the other party, unless mutually agreed upon by both parties in <br /> writing. <br /> 2. This MOU shall be governed by and construed in accordance with the laws of <br /> the State of California. <br /> 3. The invalidity and enforceability of any particular provision of this <br /> Agreement shall not affect the other provisions herein contained. <br /> 4. Limitation of Liability To the extent permitted by law, each party agrees to <br /> be responsible for any liability that directly relates to any and all of its own <br /> acts or omissions or the acts or omissions of its employees. In no event will <br /> any party be liable for any indirect or consequential damages caused by <br /> actions or omissions of another party or by the employees of another party. <br /> 5. General Provisions All parties agree to fallow all federal, state and local <br /> taws and regulations as applicable under this MOU. <br /> 6. Neither StandUp nor any of its officers, employees or agents shall, as a <br /> result of this MOU, be considered to be, or shall be authorized to act as, an <br /> officer or employee of "Sentri <br /> 7.
