AND WELLPATH <br />FOR INMATE HEALTH CARE SERVICES <br />THIS FIRST AMENDMENT to the above -referenced agreement is entered into on September <br />16, 2025, by and between California Forensic Medical Group, Inc., and Wellpath (hereinafter referred <br />to as, "Contractor" or "CFMG" ), a California Professional Medical Corporation and the City of Santa <br />Ana, a charter city and municipal corporation organized and existing under the Constitution and laws <br />of the State of California ("City"). <br />WHEREAS, the parties entered into Agreement No. A-2022-187 on September 20, 2022, by <br />which CFMG agreed to provide quality health chare to Inmates and Detainees ("City <br />Inmates/Detainees") housed at the Santa Ana Detention Facility ("Agreement"); and <br />WHEREAS, the term of the Agreement commenced on October 1, 2022 and continues for a <br />three-year period until September 30, 2025 with the option to renew the tern of the Agreement for up <br />to two (2) additional one-year periods; and <br />WHEREAS, the Agreement is current and in -effect and the parties agree to exercise the first <br />one-year renewal of the Agreement, and the Contractor has agreed to continue providing services <br />during that period; and <br />WHEREAS, the Parties have mutually agreed to recognize modifications to the staffing matrix <br />more effectively aligning resources to needs, and have determined these changes to be cost -neutral; <br />and <br />WHEREAS, in accordance with Section 11.17, the Parties desire to amend the Agreement to <br />memorialize such changes. <br />NOW, THEREFORE, in consideration of the mutual covenants herein contained and other <br />good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the <br />City and Contractor agree as follows: <br />1. AMEND SECTION 9.0, TERM. The parties agree to exercise the first of two (2) <br />additional one-year periods to renew the tern of the Agreement through September <br />30, 2026. <br />2. AMEND ARTICLE VIII — COMPENSATION AND ADJUSTMENTS. <br />Pursuant to Section 9.0.1. upon the renewal of the Agreement, the parties agree to <br />amend Article VIII - Compensation and Adjustments. In accordance with the <br />provisions of Section 9.0.1.1 — CPI INCREASES, the annual compensation amount <br />is increased by 4%, resulting in an annual amount of $3,523,309.92, payable in 12 <br />monthly installments of $293,609.16. The total amount to be expended during the <br />term of this Agreement is amended to $13,843,555.92 inclusive of an additional <br />$250,000 for emergency or other necessary services provided by CFMG, during the <br />term of this Agreement, at the City's sole discretion. <br />3.
