EXHIBIT 1 <br /> Insight:IISO <br /> 1.12. "Premium Software" means Software which Google has described as"Premium Software" <br /> within the Google Cloud Platform Services and is subject to the Service Specific Terms, <br /> including, but not limited to: Anthos Products. <br /> 1.13. "Project" means a grouping of computing, storage, and API resources for Customer, and <br /> via which Customer may use the Google Cloud Platform Services. <br /> 1.14. "Services" means the Google Cloud Platform Services. <br /> 1.15. "Service Specific Terms" means the terms which are specific to each Google Cloud <br /> Platform Service and set forth at https://cloud.google.com/terms/service-terms as <br /> modified from time to time. <br /> 1.16. "SLAB" means the service level agreements applicable to the Google Cloud Platform <br /> solutions found at https://cloud.google.com/terms/sla/. <br /> 1.17. "Software" means any downloadable tools, software development kits, or other such <br /> proprietary computer software provided by Google in connection with the Google Cloud <br /> Platform Services, including Premium Software, which may be downloaded by Customer, <br /> and any updates Google may make to such Software from time to time. <br /> 1.18. "Third Party Content" means content made available to you by any third party via Insight <br /> or the Console in conjunction with the Services. <br /> 2. Terms of Sale and Terms of Use for Cloud Services <br /> 2.1. Terms of Sale. The purchase of the Services will be subject to Insight's Terms of Sale for <br /> Cloud Services as set forth at https://www.Insight.com/en US/help/terms-of-sale-cloud- <br /> i�s.html ("Insight Terms of Sale"), including, but not limited to, pricing (where applicable) <br /> will be set forth in the Google Cloud Platform console, tools or platform used by You to <br /> procure Services (the"Console"). For the avoidance of doubt, notwithstanding the <br /> presence or acceptance by Insight of any separate purchase order You may provide, to the <br /> extent such purchase order contains other terms, it will be for administrative purposes <br /> only and the parties agree that the governing terms and conditions shall be those set forth <br /> in this Agreement, unless otherwise agreed to in writing by Insight and You. If there is a <br /> conflict between the Insight Terms of Sale and any of the other documents that comprise <br /> the Agreement ("Conflicting Terms"), the terms of the Agreement ("Prevailing Terms") will <br /> take precedence over the Conflicting Terms solely with respect to Your use of the Google <br /> Cloud Platform Services. Moreover, the Prevailing Terms shall be construed as narrowly as <br /> possible to resolve the conflict while preserving as much of the Agreement as possible, <br /> including, but not limited to, preserving non-conflicting provisions contained within the <br /> same paragraph, section, or sub-section as the Conflicting Terms. Capitalized terms which <br /> are not defined in this Agreement shall have the meaning ascribed to them in the Insight <br /> Terms of Sale. <br /> 2.2. Terms of Service. The Services are provided by the Supplier and are subject to the <br /> Google TOS. Such terms, including any additional Supplier terms provided in this <br /> Agreement, will apply to Your access to and use of the Services. By provisioning Services <br /> through the Console, you represent, warrant and covenant that you will not use the <br /> Services unless You have agreed to the Google TOS. <br /> 2.3. Your Account. Once an account has been set up for you, Services may be enabled and <br /> provisioned by you via the Console. Use, reporting and invoicing of the Services are based <br /> on a consumption or actual use basis, as further described below. You will be invoiced for <br /> the Services you consume in accordance with usage reports provided by the Supplier. <br /> 2.4. Third Pa�Content. Third Party Content, such as software applications provided by <br /> third parties, may be made available directly to you by other companies or individuals <br /> under separate terms and conditions, including separate fees and charges. Because we <br /> may not have tested or screened the Third-Party Content, your use of any Third-Party <br /> Content is at your sole risk. <br /> Rev. 03/22Q 2 <br />
