<br /> INSURANCE REQUIREMENTS
<br /> L Without limiting any of the other obligations or liabilities of FORTE, FORTE shall secure and
<br /> maintain at its own cost and expense, throughout the Term of the Agreement, the insurance in
<br /> conformance with the following requirements;
<br /> A. FORTE shall provide certificates of insurance not more often than annually and only upon
<br /> receipt of written request therefore from.AGENCY and agrees to maintain insurance as follows:
<br /> 1. Commercial Crime Liability Insurance: which includes, without limitation, a blanket bond for
<br /> all employee dishonesty in the amount of$1,000,000 per occurrence or claim: coverage for theft, forgery
<br /> or alteration, fiends transfer fraud, safe burglary, counterfeit paper currency, disappearance and
<br /> destruction of monies and securities in or on the Facility Premises or outside the Facility Premises in an
<br /> amount no less than$35,000;and depositor's forgery in the amount of$250,000,
<br /> 2. Commercial General Liability Insurance with limits of$1,000,000 per occurrence and
<br /> $2,000,000 in the aggregate;
<br /> 3. Workers Compensation insurance as required by applicable law;
<br /> 4. Automobile Liability insurance coverage limit of$1,000,000 combined single limit;and,
<br /> 5. Technology Errors and Omissions insurance(including,without limitation, Cyber Liability)with
<br /> a liniit of$2,000,000,and coverage shall be sufficiently broad to respond to the duties and obligations
<br /> uridertaken by Forte cinder this Agreement.
<br /> B. The policies for Commercial General Liability and Products Liability are to contain,or be
<br /> endorsed to contain,the following provisions:
<br /> 1. A waiver of subrogation in favor of AGENCY.
<br /> 2. AGENCY, its officers,officials, employees and volunteers are to be covered as an additional
<br /> insured as respects: liability arising out of activities performed by or on behalf of FORTE;products and
<br /> completed operations of FORTE;premises owned,leased,hired or borrowed by FORTE. The coverage
<br /> shall contain no special limitations on the scope of protection afforded to AGENCY,its officers,
<br /> officials, employees or volunteers.
<br /> 3. The insurance coverage shall be a priniary insurance as respects to AGENCY, its officers,
<br /> officials, employees and volunteers. Any insurance or self-insurance maintained by AGENCY,its
<br /> officers,officials,employees or volunteers shall be in excess of FORTE's insurance and shall not
<br /> contribute with it.
<br /> C. The policies for Worker's Compensation and Employer's liability Coverage will contain,or will
<br /> be endorsed to contain, an agreement to'waive all rights of subrogation against AGENCY,its officers,
<br /> officials, employees and volunteers for losses arising from work performed by FORTE for AGENCY.
<br /> D. Each policy shall provide that the insurance cannot be canceled without at least t (30)days,
<br /> prior written notice to AGENCY. It sha11 be the responsibility of FORTE to maintain such insurance
<br /> coverage at all times during the Train,and failure by FORTE to maintain such coverage shall not relieve
<br /> FORTE of any contractual responsibility or obligation or liability under the Agreement.
<br /> 2. This provision shall survive for a period of two (2)years after the termination of the Agreement.
<br /> 3. Certificate Holder on each Evidence of Insurance certificate shall be: City of Santa Ana,Attention.
<br /> (Name of Department Staff Responsible for Agreement),Address of Department Responsible for
<br /> Agreement,M-XX, Santa Ana, CA 92701.The name and location of the project or event should
