RECITALS: A. The parties entered into Agreement N-2010-106, dated October 20, 2010 (hereinafter "said Agreement") by which Consultant has provided grant consulting services projects. B. In accordance with the terms and conditions of said Agreement, the parties wish to amend the Scope of Services. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Agreement, the parties agree as follows: 1. Section 1, SCOPE OF SERVICES, shall be amended to revise the Scope of Services to include the following changes, as set forth in Revised Exhibit A, attached hereto and incorporated by this reference: The following services will be added to the Scope of Services: • Consultant will provide graphic design and publication of the Strategic Plan • Consultant will prepare an additional grant application. The following services will be removed from the Scope of Services: • Preparation of Total Cost of Ownership for conventional and alternative fuels. 2. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect.
