EXHIBIT H <br />FORM OF LEASE ASSIGNMENT <br />ASSIGNMENT AND ASSUMPTION OF LEASE <br />THIS ASSIGNMENT AND ASSUMPTION OF LEASE ( "Assignment ") is made this <br />day of December, 2005, by and between Vinci Investment Co., Inc., a California <br />corporation, doing business as Santa Ana Honda ( "Assignor "), and the Community <br />Redevelopment Agency of the City of Santa Ana, a body corporate and politic organized and <br />existing under the Community Redevelopment Law of the State of California ( "Assignee "), with <br />reference to the following facts: <br />A. Erickson Properties Corporation, a California corporation ( "Erickson "), as <br />Lessor, and Mohammed Hussain Joher aka Mohammed Hussain Joher, Mohammed Zouhair <br />Joher and Hassan Joher (collectively, "Johers "), as Lessee, entered into that certain Standard/ <br />Industrial /Commercial Single -Tenant Lease -Net dated December 28, 1992 (the "Lease ") <br />covering the property commonly known as 2101 E. Edinger Avenue, Santa Ana, CA 92705 (the <br />"Leased Premises "), as more particularly described on Exhibit "A" attached hereto; <br />B. The Johers' interest under the Lease was assigned to Saber Joher on March 27, <br />2002; <br />C. Mohammed Hussain Joher, Saher Joher, 2101 East Edinger, Inc., debtor and <br />debtor -in- possession in Case No. SA 05- 14249 -RA and James J. Joseph, Chapter 11 Trustee of <br />the Bankruptcy Estate of Mohammed Hussain Joher and Saber Joher, Case No. SA 0511201 -RA <br />(collectively, the " Joher Parties ") assigned all of their right, title and interest in the Lease to <br />Assignor (who erroneously assumed the Lease under the name Vinci Investments Co., Inc., dba <br />Honda Santa Ana) as of October 11, 2005, evidenced by that certain Assignment of Lease dated <br />as of October 11, 2005 and recorded on October 25, 2005 as Document No. 200500855972 in <br />the Official Records of Orange County, California. <br />D. Erickson and Assignor executed that certain Memorandum of Lease dated <br />effective as of October 10, 2005 and recorded on October 25, 2005 as Document <br />No. 200500855971 in the Official Records of Orange County, California to provide constructive <br />notice of Assignor's rights under the Lease. <br />E. Pursuant to the terms of that certain Acquisition Agreement, Mutual Release and <br />Joint Escrow Instructions entered into by Assignor and Assignee (the "Acquisition <br />Agreement "), Assignor now desires to assign and transfer to Assignee all of Assignor's right, <br />title and interest as Lessee under the Lease, subject to the rentals, terms, covenants, obligations, <br />easements and restrictions set forth therein. <br />EXHIBIT H -1 <br />6000904350 <br />8-237 <br />
