IN5UHANCt ON FILL: <br />WORK MAY PROCER[) <br />UNTIL INSURANCE EXP R _8 <br />CLCRK OF COl1NCIL <br />DATE b -ti3 AMENDMENT TO AGREEMENT <br />THIS AMENDMENT TO AGREEMENT, is entered into on this 15th day of December <br />2015, by and between JPMorgan Chase Bank, N.A., (hereinafter "Bank "), and the City <br />of Santa Ana, a charter city and municipal corporation organized and existing under the <br />Constitution and laws of the State of California (hereinafter "City "). <br />RECITALS: <br />A. The parties entered into a banking services agreement (Agreement #A- 2010 -204) <br />dated November 19, 2010 (hereinafter "said Agreement ") by which Bank has <br />provided banking services to City. <br />sb <br />B. The term of said Agreement was three (3) years effective January 1, 2010 with an <br />option, exercisable by City, to extend said Agreement for two (2) additional years <br />ending December 31, 2015. <br />C. In accordance with the terms and conditions of said Agreement, the parties wish to <br />amend the term of said Agreement ( "TERM ") to provide for an additional six (6) <br />month period ending June 30, 2016 with an option, exercisable by the City Manager <br />and City Attorney, to renew said Agreement for an additional six (6) month period <br />covering July 1, 2016 through December 31, 2016. <br />D. In accordance with the terms and conditions of said Agreement, the parties wish to <br />amend the compensation afforded Bank under said Agreement <br />( "COMPENSATION ") to cover the additional period ending June 30, 2016 and any <br />additional optional period exercised by City. <br />E. In accordance with the terms and conditions of said Agreement, the parties wish to <br />amend the rates and charges ( "BANK FEES ") afforded Bank under said Agreement <br />to reflect Bank's most recent City of Santa Ana account analysis statements. <br />F. Amended Agreement shall be shall be comprised of the Amendment to Agreement as <br />set forth herein together with the following documents referenced as follows <br />(collectively attached hereto and incorporated herein as Exhibit A): <br />City's RFP 10 -018, issued March 31, 2010, as amended and supplemented by <br />Bank's responses to such RFP, inclusive of all appendices other than the Account <br />Terms and the Consolidated Service Terms contained in such response. <br />ii. Account Terms and the Consolidated Service Terms documents respectively <br />signed by Bank and City on November 19, 2010, as each may have been <br />subsequently amended by their respective terms. <br />iii. Bank's City of Santa Ana account analysis statements for the month of September <br />2015 setting out all applicable bank fees. <br />A- 2015 -303 <br />
