the benefits of, or be subjected to discrimination under any program or activity funded in whole <br />or in part with funds received pursuant to this Agreement. Attorneys affirms that it is an equal <br />opportunity employer and shall comply with all applicable federal, state and local laws and <br />regulations. <br />O. Conflict of Interest. Attorneys agrees that no officer, employee, agent or <br />assignee of City who was involved in the sale of said property, either directly or indirectly, shall <br />serve as an officer of Attorneys. Further, any conflict or potential conflict of interest of any <br />officer of Attorneys shall be fully disclosed in writing prior to the execution of this Agreement <br />and said writing shalt be attached and deemed fully incorporated as a part hereof. Notice shall be <br />sent by Attorneys to City regarding any changes or modifications to its board of directors and list <br />of officers. <br />P. Prohibition of Nepotism. Attorneys agrees not to hire or permit the hiring of <br />any person to fill a position funded through this Agreement if a member of that person's immediate <br />family is employed in an administrative capacity by Attorneys. For the ,purposes of this section, the <br />term "immediate family" means spouse, child, mother, father, brother, sister, brother-in-law, sister- <br />in-law, father-in-law, mother-in-law, son-in-law, daughter-in-law, aunt, uncle, niece, nephew, <br />stepparent and stepchild. The term "administrative capacity" means having selection, hiring, <br />supervisor or management responsibilities. <br />11. CONFIDENTIALITY if Attorneys receive from the City information, which due to the <br />nature of such information is reasonably understood to be confidential and/or proprietary, <br />Attorneys agree that it shall not use or disclose such information except in the performance of <br />this Agreement, and further agree to exercise the same degree of care it uses to protect its own <br />information of like importance, but in no event less than reasonable care. "Confidential <br />Information" shall include all nonpublic information. Confidential information includes not only <br />written information, but also information transferred orally, visually, electronically, or by other <br />means. Confidential information disclosed to either party by any subsidiary and/or agent of the <br />other party is covered by this Agreement. The foregoing obligations of non-use and <br />nondisclosure shall not apply to any information that (a) has been disclosed in publicly available <br />sources; (b) is, through no fault of the Attorneys, disclosed in a publicly available source; (c) is <br />in rightfull possession of the Attorneys without an obligation of confidentiality; (d) is required to <br />be disclosed by operation of law; or (e) is independently developed by the Attorneys without <br />reference to information disclosed by the City. <br />12, CONFLICT OF INTEREST CLAUSE Attorneys covenant that it presently has no <br />interests and shall not have interests, direct or indirect, that would conflict in any manner with <br />performance of services specified under this Agreement. <br />13, NOTICE Any notice, tender, demand, delivery, or other communication pursuant to this <br />Agreement shall be in writing and shall be deemed to be properly given if delivered in person or <br />
