10MR61 40 REQUiR£D <br />WW MAY PMED N-2017-177 <br />CLERK UF (I; <br />DATTo W 14 <br />O: PRCS (1) r.u2ST AMENDMENT TO MASTER LICENSE AGREEMENT <br />Silvia Cuevas This FIRST AMENDMENT TO MASTER LICENSE AGREEMENT ("First <br />Amendment") isdated for reference purposes as of August 1, 2017, and entered into by and <br />between FIRST AMERICAN TITLE INSURANCE COMPANY, a Nebraska corporation ("First <br />American"), and the CITY OF SANTA ANA, a California municipal corporation ("Licensee"), <br />RECITALS: <br />A. First American and Licensee are parties to that certain Master License Agreement <br />dated August 1, 2013 ("Original Master Agreement"), which provides for a process for <br />Licensee to make requests from time to time for First American to grant to Licensee a limited <br />license to use certain property located at 114 E, 51h St., Santa Ana, CA as a command post for <br />Licensee's mounted patrol for the Cinco de Mayo Festival and the Fiestas Patrias Festival, held <br />each year in the City of Santa Ana and more particularly described in the Original Master <br />Agreement as the "Events." All terms not otherwise defined herein shall have the meaning <br />ascribed in the Original Master Agreement <br />B. Licensee has requested and First American has agreed to include a certain <br />additional parking lot as a License Area and to expand the permitted use of the License to include <br />parking for Licensee's employees working at an Event, on the terms and conditions set forth in <br />the Master License Agreement and this First Amendment. <br />NOW THEREFORE, for and in consideration of the mutual covenants and agreements <br />herein contained and for other good and valuable consideration, the receipt and sufficiency of <br />which is hereby acknowledged, the parties hereto agree as follows: <br />1. License Area. The parties agree that the "License Area" shall be ascended to <br />mean (i) the License Area that is described in the Original Master Agreement, which is the <br />courtyard parking lot located on the Property at 114 E, 5a' Street, Santa Ana, CA ("Courtyard <br />Lot"); and (ii) the parking lot located at the corner of Bush Street and E. 5'h Street in Santa Ana, <br />CA, legally described as Parcel 1. as shov,a on Exhibit "B" attached to lot merger No. 2015-07 <br />recorded September 23, 2015 as Instrument No. 2015000487766 of Official Records of Orange <br />County, California ("Bush Lot'), each of which is generally depicted on Exhibit "A" attached <br />hereto. <br />2. Purpose of License. First American agrees to expand the permitted use of the <br />License to include both of the following in connection with an Approved Event and for no other <br />purpose or use: (i) a command post for Licensee's mounted patrol, and (ii) vehicle parking for <br />Licensee's employees (and not performers, vendors, or any other parties) while the employee is <br />working at an Event. <br />3. Procedures for Requesting License. The procedures for making a Request for the <br />use of the License Area for an Event shall continue to be as set forth in Section 2 of the Original <br />Master Agreement; provided, however, the Request form attached as Exhibit "A" to the Original <br />Master Agreement is hereby deleted and replaced with the form. attached to this First Amendment <br />I <br />
