Licensee acknowledges and understands that the granting or the denial of a <br />Request shall be in First American's sole and absolute discretion and is without restriction or <br />limitation of any kind, and Licensee shall have no expectation that a Request shall be granted as <br />to any particular Event. <br />4. Miscellaneous. <br />4.1 Authori . The persons executing this First Amendment on behalf of the <br />parties hereto represent and warrant to the other party that they are duly authorized to execute and <br />deliver this First Amendment on behalf of such party, and by so executing this First Amendment, <br />said party is formally bound to the provisions of this First Amendment, <br />4.2 Full Force and Effect; Conflicts, Except as expressly set forth in this First <br />Amendment, all terms, conditions, and provisions of the Original Master Agreement shall remain <br />in full force and effect. In the event of any conflict between the terms and provisions of this First <br />Amendment and the terms and provisions of the Original Master Agreement, the terms and <br />provisions of this First Amendment shall prevail. <br />4.3 Counterparts Signatures. This First Amendment may be executed in two <br />or more counterparts, each of which shall be deemed an original, but all of which shall constitute <br />a single instrument. The parties agree that signatures may be delivered by facsimile transmission <br />or by e-mail delivery in ".pdf' format or other electronic means and such signature shall create a <br />valid and binding obligation of the party executing (or on whose behalf such signature is <br />executed) with the same force and effect as if such signature were an original thereof <br />[end — signatures on next page] <br />
