2. Project. The Recipient shall complete the Work, as generally described in <br />the Standard Agreement, on the real property described in Exhibit A hereto <br />(the "Property") and incorporated herein, in accordance with the Standard <br />Agreement and the Scope of Work as described in Exhibit B attached hereto <br />and incorporated herein. <br />3. Representations and Warranties. Recipient represents and warrants to the <br />Department as follows: <br />a. Organization. Recipient is duly organized, validly existing and in <br />good standing under the laws of the State of California and has the <br />power and authority to own or lease the Property and to own, <br />develop, construct, operate and maintain the Work. The copies of the <br />documents evidencing the organization of Recipient delivered to the <br />Department are true, complete, and correct copies of the originals, <br />as amended to the date of this Agreement. <br />b. Authority of Recipient. Recipient has full power and authority to <br />execute and deliver the Grant Documents and all other instruments, <br />agreements and documents executed and delivered, or to be <br />executed and delivered, pursuant to this Agreement, and to perform <br />and observe the terms and provisions of all of the above. <br />C. Authority of Persons Executing Documents, The Grant Documents <br />and all other instruments, agreements and documents executed and <br />delivered, or to be executed and delivered, pursuant to this <br />Agreement, have been executed and delivered by persons who are <br />duly authorized to execute and deliver the same for and on behalf of <br />Recipient. All actions required under Recipient's organizational <br />documents and applicable governing law for the authorization, <br />execution, delivery and performance of the Grant Documents and all <br />other instruments executed and delivered, or to be executed and <br />delivered, pursuant to this Agreement, have been duly taken. <br />d. No Breach of Law or Agreement. None of the execution or delivery <br />of the Grant Documents and other instrument, agreement and <br />document executed and delivered, or to be executed or delivered, <br />pursuant to this Agreement, or the performance of any provision, <br />condition, covenant or other term hereof or thereof, will conflict with <br />or result in a breach of any statute, rule or regulation, or any <br />judgment, decree or order of any court, board, commission, or <br />agency whatsoever binding on the Recipient or any provision of the <br />organizational documents of the Recipient, will conflict with or <br />constitute a breach of or a default under any agreement to which <br />16-AHSC-11200 <br />NOFA 02/29/16 Page 2 of 36 <br />Rev: 03/16/17 <br />Project Santa Ana Arts Collective <br />Prep DatL,. 0008117 <br />
