Recipient is a party, or will result in the creation or imposition of any
<br />lien upon the Property of Recipient, other than liens approved by the
<br />Department.
<br />Compliance with Laws: Consents and Approvals. The Work will
<br />comply with all applicable laws, ordinances, rules and regulations of
<br />federal, state and local governments and agencies having
<br />jurisdiction over eitherthe Recipient, the Property, the Work, and with
<br />all applicable directions, rules and regulations of the fire marshal,
<br />health officer, building inspector and other officers of any such
<br />government or agency. All permits, consents, permissions and
<br />licenses required by any federal, state or local government or agency
<br />to which Recipient, the Property, the Work is subject, which may be
<br />necessary in relation to this Agreement or the acquisition,
<br />development, construction or ownership of the Work, at or prior to
<br />the commencement of construction, have been, or will be, obtained,
<br />and none of such consents, permissions and licenses are subject to
<br />appeal or to conditions which have not been met.
<br />Pending Proceedings, The Recipient is not in default under any law
<br />or regulations or under any order of any court, board, commission or
<br />agency whatsoever, and there are no claims, actions, suits or
<br />proceedings pending or, to the knowledge of Recipient, threatened
<br />against or affecting Recipient, the Property, the Work, at law or in
<br />equity, before or by any court, board, commission or agency
<br />whatsoever which might, if determined adversely to Recipient,
<br />materially affect Recipient's ability to acquire, construct or develop
<br />the Work.
<br />Title to Property. Recipient or its subsidiary will have good and
<br />marketable title to the Property, Work or a leasehold interest therein
<br />approved by the Department and there shall exist thereon or with
<br />respect thereto no mortgage, lien, pledge or other encumbrance of
<br />any character whatsoever other than liens for current real property
<br />taxes and assessments not yet due and payable and other matters
<br />of record approved in writing by the Department.
<br />Financial Statements. The financial statements of Recipient and
<br />other financial data and information if requested by the Department
<br />and furnished by Recipient, fairly represents the financial information
<br />contained therein.
<br />Adequacy of Program Funds. The amount of the Program Funds,
<br />together with any funds to be provided by the Recipient or to the
